Santander Bank Polska SABanco Santander to sell 3.5 pct stake in Santander BP to investors at PLN 482 per share
Banco Santander has sold 3,576,626 shares of listed lender Santander BP, the unit of Spanish Banco Santander which represents 3.5 percent of the bank’s share capital to institutional investors at PLN 482 (EUR 110) per share as part of a completed accelerated bookbuilding process, Santander BP said in a market filing.
The sold stake has a total value of PLN 1.72 billion (EUR 391 mln).
Following settlement, Banco Santander will hold a 58.7 percent majority stake in Santander BP. After the planned sale of around 49 percent of shares to Erste Group Bank, announced on May 5, the Spanish bank's holding will fall to roughly 9.7 percent.
"The shareholder will remain active on the Polish market through Santander Consumer and the planned strategic cooperation with Erste, aimed at leveraging each company's strong market position in corporate and investment banking, while providing Erste with access to Santander’s payment platforms," the filing said.
Banco Santander has agreed, subject to standard exceptions, to a 90-day lock-up on the remaining shares it holds in Santander Bank Polska.
"Banco Santander, (in its capacity as a manager and not as shareholder selling the shares), Santander Bank Polska - Santander Brokerage House (Santander Biuro Maklerskie), Bank Handlowy in Warsaw - Brokerage Office of Bank Handlowy, Citigroup Global Markets Europe AG, BofA Securities Europe SA and Goldman Sachs Bank Europe SE acted as Joint Global Coordinators and Joint Bookrunners for the Placement. Erste Group Bank AG and Erste Securities Polska acted as the co-managers," it added.
