Zarząd BTCS S.A. ("Emitent") informuje, że w dniu 1 grudnia 2025 r. Emitent zawarł z ZIGChain Foundation, zarejestrowaną w Grand Cayman, Kajmany, umowę Validator Service and Advisory Agreement. Na mocy umowy Emitent będzie świadczył usługi walidatora sieci ZIGChain (operator węzła zapewniającego bezpieczeństwo i prawidłowe działanie sieci), a przedstawiciel Emitenta Wojciech Kaszycki, zostanie powołany do ZIGChain Advisory Board (ciało doradcze, o charakterze niewiążącym/statutowym, bez kompetencji nadzorczych). Powołanie będzie skuteczne z dniem delegacji tokenów na walidator Emitenta.

Czym jest ZIGChain:ZIGChain to łańcuch warstwy pierwszej sieci blockchain, który przenosi wybrane aktywa z rynku tradycyjnego do bezpiecznej, cyfrowej formy (tzw. Tokenizacja aktywów świata rzeczywistego, w skrócie RWA), co może przyspieszyć emisję, rozliczenia i użycie aktywów jako zabezpieczenia. Dla Emitenta oznacza to potencjalne przychody on-chain z roli walidatora oraz ekspozycję na rosnący segment RWA, spójną ze strategią Active Treasury. Powyższa informacja ma charakter ogólnego kontekstu i nie stanowi prognozy.

Warunki rozpoczęcia świadczenia usług:

* "Mainnet" - docelowa, produkcyjna wersja sieci. Usługi ruszą po osiągnięciu stabilnego mainnetu ZIGChain.

* "Whitelisting" - wpisanie adresu technicznego walidatora na listę dozwolonych w sieci, co umożliwia formalne działanie w roli walidatora.

Dodatkowo ZIGChain Foundation przewiduje delegację 15 000 000 tokenów ZIG (lub alternatywnie użyczenie tokenów do dozwolonych celów protokołowych). Umowa określa wymogi jakości (m.in. dostępność/usługę "uptime").

Emitent uznaje informację za precyzyjną i istotną cenowo, ponieważ:

(i) wejście w rolę walidatora na sieci ukierunkowanej na tokenizację RWA może istotnie zmienić profil źródeł przychodu Emitenta w kolejnych okresach (w zależności od wolumenu delegacji i warunków sieci),

(ii) przewidywana delegacja 15 000 000 ZIG oraz zobowiązania operacyjne (np. dostępność/"uptime") stanowią istotny krok biznesowy względem obecnej skali działalności,

(iii) powołanie przedstawiciela Emitenta do ciała doradczego projektu jest elementem zaangażowania strategicznego w rozwój ekosystemu ZIGChain.

Conclusion of a Validator Service and Advisory Agreement with ZIGChain

Foundation and Appointment of the Issuer's Representative to the

ZIGChain Advisory Board

The Management Board of BTCS S.A. (the "Issuer") hereby announces that

on 1 December 2025 the Issuer concluded a Validator Service and Advisory

Agreement with ZIGChain Foundation, registered in Grand Cayman, Cayman

Islands. Under the Agreement, the Issuer will provide validator services

for the ZIGChain network (operation of a node ensuring the network's

security and proper performance), and the Issuer's representative, Mr.

Wojciech Kaszycki, will be appointed to the ZIGChain Advisory Board (an

advisory body of a non-binding/statutory nature, without supervisory

competences). The appointment will become effective upon the delegation

of tokens to the Issuer's validator.

Description of ZIGChain:ZIGChain is a layer-one blockchain that

transfers selected assets from the traditional market into a secure

digital form (so-called real-world asset tokenization, "RWA"), which may

accelerate issuance, settlement and the use of assets as collateral. For

the Issuer, this represents potential on-chain revenues from acting as a

validator and exposure to the growing RWA segment, consistent with the

Active Treasury strategy. The above information is provided solely as

general context and does not constitute a forecast.

Conditions for commencement of services:

* Mainnet - the target production version of the network. Services will

commence once the ZIGChain mainnet reaches stable operation.

* Whitelisting - inclusion of the validator's technical address on the

network's allowlist, enabling the validator to operate formally within

the network.

In addition, ZIGChain Foundation anticipates a delegation of 15,000,000

ZIG tokens (or, alternatively, the lending of tokens for permitted

protocol-level purposes). The Agreement specifies quality requirements,

including service availability/uptime.

The Issuer considers the information precise and price-sensitive

because:(i) assuming the validator role in a network focused on RWA

tokenization may significantly alter the Issuer's revenue profile in

future periods (depending on the volume of delegated tokens and network

conditions);(ii) the anticipated delegation of 15,000,000 ZIG and the

related operational commitments (e.g., service availability/uptime)

represent a material business step relative to the current scale of

operations;(iii) the appointment of the Issuer's representative to the

project's advisory body constitutes an element of strategic engagement

in the development of the ZIGChain ecosystem.
