Spółka informuje, że w dniu 4 lutego 2026 r. wspólnicy/członkowie Carlson Fintech Partners LLC ("Nabywca") udzielili wymaganej zgody wewnętrznej, stanowiącej spełnienie warunku zawieszającego przewidzianego w umowie zbycia pakietu akcji PAYMIQ zawartej w grudniu 2025 r. W konsekwencji, z dniem 4 lutego 2026 r. transakcja stała się bezwarunkowa w rozumieniu postanowień umownych.

Pozostałe informacje przekazane w raporcie pierwotnym pozostają aktualne.

Carlson Investments SE (the "Company"), with reference to its Current Report No. 2/2026 (inside information) regarding the disposal of a shareholding in PAYMIQ Financial Group Limited ("PAYMIQ"), hereby provides the following supplementary information:

On 4 February 2026, the members/partners of Carlson Fintech Partners LLC (the "Buyer") granted the required internal approval, constituting fulfilment of the suspensive condition under the PAYMIQ share disposal agreement executed in December 2025. As a result, the transaction became unconditional on 4 February 2026 within the meaning of the contractual provisions.
