PCF GROUP SA (15/2025) Podjęcie decyzji o redukcji zespołu deweloperskiego dedykowanego produkcji projektu Gemini

W nawiązaniu do raportu bieżącego nr 14/2025 z dnia 1 czerwca 2025 r. w sprawie wstrzymania prac deweloperskich nad projektem Gemini, Zarząd PCF Group S.A. z siedzibą w Warszawie ("Spółka") informuje, że podjął decyzję o redukcji zespołu deweloperskiego dedykowanego produkcji projektu Gemini realizowanego przez grupę Spółki ("Grupa") w Europie w modelu work-for-hire na rzecz Square Enix Limited ("Wydawca"), na podstawie umowy produkcyjno-wydawniczej ("Umowa Wydawnicza").

Powyższa decyzja związana jest z nieprzedstawieniem Spółce przez Wydawcę projektu kolejnej umowy wykonawczej do Umowy Wydawniczej, a w konsekwencji brakiem zawarcia przez Spółkę i Wydawcę kolejnej umowy wykonawczej do Umowy Wydawniczej, co doprowadziło do powstania istotnej niepewności co do możliwości kontynuowania współpracy pomiędzy Grupą i Wydawcą nad realizacją projektu Gemini i wstrzymania prac deweloperskich na tym projekcie. W związku z powyższym ponad 60 osób zostanie objętych redukcją zatrudnienia.

W przypadku pojawienia się nowych informacji na temat projektu Gemini zostaną one przekazane przez Spółkę do wiadomości publicznej w odrębnych raportach bieżących, zgodnie z obowiązującymi przepisami prawa.

Decision to reduce the development team

dedicated to the production of project GeminiWith

reference to the current report no. 14/2025 dated 1 June 2025 regarding

suspension of development works on project Gemini, the Management Board

of PCF Group S.A. with its registered office in Warsaw (the "Company")

informs that it decided to reduce the development team dedicated to the

production of project Gemini developed by the Company's group (the

"Group") in Europe, in the work-for-hire model for Square Enix Limited

(the "Publisher"), under a development and publishing agreement (the

"Publishing Agreement").

The above decision is related to the Publisher's failure to present the

Company with a draft of the subsequent content rider to the Publishing

Agreement and consequently the failure of the Company and the Publisher

to conclude the subsequent content rider to the Publishing Agreement

which led to significant uncertainty as to the possibility of continuing

cooperation between the Group and the Publisher on the production of

project Gemini and the suspension of development work on this project.

For the above reasons, over 60 people will be subject to a redundancy.

If any new information about project Gemini emerges, it will be

disclosed by the Company in separate current reports, in accordance with

applicable law.
