Zarząd R.Power S.A. z siedzibą w Warszawie ("Emitent") informuje, że dnia 8 kwietnia 2026 r. Emitent zawarł z UniCredit NV/SA, działającym przez UniCredit S.A. Spółka Akcyjna Oddział w Polsce ("Kredytodawca"), umowę kredytu pomostowego m.in. na rozwój magazynów energii elektrycznej w Polsce na łączną kwotę 90.000.000 PLN ("Finansowanie").

Finansowanie zostanie uruchomione po spełnieniu typowych dla takiego finansowania warunków zawieszających określonych w umowie kredytu.

Finansowanie jest oprocentowane na warunkach rynkowych. Ponadto, umowa o Finansowanie nakłada standardowe obowiązki związane m.in. ze spełnianiem obowiązków informacyjnych, a także postanowienia dotyczące okoliczności w zakresie wymagalności spłaty Finansowania przed terminem oraz możliwości wydłużenia okresu finansowania.

Current Report 10/2026 - Execution of a loan agreement

The

Management Board of R.Power S.A. with its registered office in Warsaw

(the "Issuer") hereby announces that on 8 April 2026 the Issuer entered

into a bridge loan agreement with UniCredit NV/SA, acting through

UniCredit S.A. Spółka Akcyjna Oddział w Polsce (the "Lender"), for the

development of battery energy storage systems in Poland in the total

amount of PLN 90,000,000 (the "Financing").

The

Financing will be made available upon satisfaction of the conditions

precedent customary for this type of financing, as set out in the loan

agreement.

The

Financing bears interest at market rates. In addition, the loan

agreement imposes standard obligations including, among others,

reporting and information covenants, as well as provisions governing the

circumstances under which early repayment of the Financing may become

due.
