Zarząd R.Power S.A. z siedzibą w Warszawie ("Emitent") informuje, że w dniu 30 grudnia 2025 r. spółki należące do Grupy Kapitałowej Emitenta ("Spółki Zależne") zawarły z Narodowym Funduszem Ochrony Środowiska i Gospodarki Wodnej - Krajowym Operatorem Funduszu Modernizacyjnego umowy o dofinansowanie realizacji inwestycji ze środków Funduszu Modernizacyjnego, w formie dotacji, na łączną kwotę do 499.106.650,80 zł (słownie: czterysta dziewięćdziesiąt dziewięć milionów sto sześć tysięcy sześćset pięćdziesiąt złotych 80/100).

Umowy zostały zawarte w związku z realizacją projektów w ramach programu priorytetowego "Magazyny energii elektrycznej i związana z nimi infrastruktura dla poprawy stabilności polskiej sieci elektroenergetycznej".

Środki pozyskane w ramach zawartych umów zostaną przeznaczone na realizację inwestycji polegających na budowie samodzielnych magazynów energii elektrycznej oraz zakup związanej z nimi infrastruktury technicznej.

Łączna maksymalna wartość dofinansowania wynikająca z umów zawartych przez Spółki Zależne przekracza 10% kapitałów własnych Emitenta.

Zarząd Emitenta powziął informację o zawarciu powyższych umów w dniu 31 grudnia 2025 r.

of grant agreements with the National Fund for Environmental Protection

and Water Management

The Management Board of R.Power S.A., with its registered office in

Warsaw (the "Issuer"), hereby informs that on 30 December 2025 companies

belonging to the Issuer's Capital Group (the "Subsidiaries") entered

into grant agreements with the National Fund for Environmental

Protection and Water Management - the National Operator of the

Modernisation Fund, for the implementation of investments financed from

the Modernisation Fund, in the form of grants, for a total amount of up

to PLN 499,106,650.80 (in words: four hundred ninety-nine million one

hundred six thousand six hundred fifty zlotys and 80/100).

The agreements were concluded in connection with the implementation of

projects under the priority programme "Electricity energy storage

facilities and related infrastructure to improve the stability of the

Polish power grid".

The funds obtained under the executed agreements will be allocated to

the implementation of investments consisting in the construction of

stand-alone electricity energy storage facilities and the purchase of

related technical infrastructure.

The total maximum amount of financing resulting from the agreements

concluded by the Subsidiaries exceeds 10% of the Issuer's equity.

The Issuer's Management Board became aware of the execution of the above

agreements on 31 December 2025.
