Zarząd R.Power S.A. z siedzibą w Warszawie ("Emitent") informuje, że w dniu 3 lutego 2026 roku została zawarta Umowa o świadczenie usług magazynowania z wykorzystaniem bateryjnego magazynu energii o mocy 127 MW i pojemności ok. 254 MWh, ("Umowa"), pomiędzy rumuńską spółką należącą do Grupy Kapitałowej Emitenta ("Spółka Zależna"), w której Emitent posiada większościowy pakiet udziałów, a GEN-I, Bucharest - electricity trading and sale, s.r.l. ("GEN-I").

Zawarcie Umowy stanowi kolejny etap realizacji projektu bateryjnego magazynu energii, o którym Emitent informował m.in. w raporcie bieżącym nr 21/2025 dotyczącym sprzedaży mniejszościowego pakietu udziałów w Spółce Zależnej.

Przedmiotem Umowy jest świadczenie usługi magazynowania energii elektrycznej przez Spółkę Zależną na rzecz GEN-I. Umowa została zawarta na okres od dnia rozpoczęcia komercyjnej eksploatacji bateryjnego magazynu energii, do upływu pięciu lat od momentu rozpoczęcia świadczenia przez bateryjny magazyn energii usług bilansujących.

GEN-I będzie odpowiedzialne za optymalizację pracy magazynu, a wynagrodzenie za usługę magazynowania będzie oparte o podział zysków generowanych przez magazyn energii wraz z zagwarantowaniem przez GEN-I minimalnego poziomu przychodów dla Spółki Zależnej.

Łączna wartość Umowy za cały okres jej obowiązywania może przekroczyć poziom 10% kapitałów własnych Emitenta.

ESPI - Current Report 5/2026 - Execution of

Storage Services Agreement by Company from the R.Power S.A. GroupThe

Management Board of R.Power S.A., with its registered office in Warsaw

(the "Issuer"), hereby informs that on 3 February 2026 a Storage

Services Agreement (with the use of a battery energy storage system

("BESS") facility with a nominal power of 127 MW and capacity of

approximately 254 MWh) (the "Agreement") was executed, between a

Romanian company belonging to the Issuer's Capital Group (the

"Subsidiary"), in which the Issuer holds a majority stake, and GEN-I,

Bucharest - electricity trading and sale, s.r.l. ("GEN-I").

The execution of the Agreement constitutes a further step in the

implementation of the battery energy storage project referred to, inter

alia, in Current Report No. 21/2025 regarding the sale of a minority

stake in the Subsidiary.

The subject of the Agreement is the provision of electricity storage

services by the Subsidiary to GEN-I. The Agreement has been entered into

for a period starting on the date of the start of commercial operation

of the battery energy storage system, lasting until the fifth

anniversary of the battery energy storage system starting to provide

balancing (ancillary) services.

GEN-I shall be responsible for optimizing the operation of the BESS

facility, and the remuneration for the electricity storage service will

be based on sharing the profits generated by the BESS facility, with

GEN-I guaranteeing a minimum level of revenue for the Subsidiary.

The total value of the Agreement over its entire term may exceed 10% of

the Issuer's equity.
