Zarząd R.Power S.A. z siedzibą w Warszawie ("Emitent") informuje, że 17 lutego 2026 r. powziął informację o wygraniu przez zagraniczną spółkę należącą do Grupy Kapitałowej Emitenta ("Spółka Zależna") aukcji w niemieckim systemie wsparcia odnawialnych źródeł energii (EEG), przeprowadzonej przez niemiecki urząd regulacyjny Bundesnetzagentur ("Aukcja").

Na podstawie rozstrzygnięcia Aukcji Spółka Zależna uzyskała prawo do dwudziestoletniego wsparcia wytwarzania energii elektrycznej z instalacji fotowoltaicznej o łącznej mocy 11,3 MW, w formie premii rynkowej (Marktprämie) przewidzianej w niemieckim systemie EEG. System ten opiera się na dopłatach odpowiadających różnicy między ceną określoną w ofercie aukcyjnej a średnią miesięczną ceną energii z instalacji fotowoltaicznej, ustalaną na podstawie cen rynkowych spot. Dzięki przyznanemu wsparciu Spółka Zależna ma zagwarantowaną minimalną cenę sprzedaży energii elektrycznej. Prawo do wsparcia będzie przysługiwać od momentu rozpoczęcia sprzedaży energii, nie później niż od dnia 20 lutego 2028 r.

Łączna wartość Umowy przez cały okres obowiązywania nie powinna przekroczyć 10% kapitałów własnych Emitenta.

Results of the EEG auction in Germany won by the Issuer's Subsidiary

The Management Board of R.Power S.A. with its

registered office in Warsaw (the "Issuer") hereby informs that on 17

February 2026 it received information that a foreign company belonging

to the Issuer's Capital Group (the "Subsidiary") has won an auction held

under the German renewable energy support scheme (EEG), organized by the

German regulatory authority Bundesnetzagentur (the "Auction").

Based on the Auction results, the Subsidiary

has obtained the right to receive twenty years of operational support

for the generation of electricity from a photovoltaic installation with

a total capacity 11.3 MW. The support will take the form of a market

premium (Marktprmie) provided under the German EEG system. This system

is based on compensatory payments equal to the difference between the

price offered in the auction and the average monthly market price of

electricity generated by photovoltaic installations, calculated based on

spot market prices. As a result, the Subsidiary has a guaranteed minimum

electricity sale price. The right to support will apply from the

commencement of energy sales, no later than 20 February 2028 r.

The total value of the Agreement over its

entire duration is not expected to exceed 10% of the Issuer's equity.
