Zarząd R.Power S.A. z siedzibą w Warszawie ("Emitent") przekazuje do publicznej wiadomości wybrane wstępne skonsolidowane wyniki finansowe Grupy R.Power.

Zaprezentowane poniżej wyniki finansowe zostały sporządzone zgodnie z Międzynarodowymi Standardami Sprawozdawczości Finansowej ("MSSF"), a dane porównawcze za okres poprzedni zostały odpowiednio przekształcone w celu zapewnienia ich zgodności z MSSF oraz zachowania porównywalności prezentowanych informacji.

W okresie dwunastu miesięcy zakończonych 31 grudnia 2025 roku Grupa R.Power osiągnęła:

Przychody ogółem: 628 mln zł

EBITDA (zysk operacyjny przed amortyzacją): 375 mln zł

Wynik na działalności finansowej: -128 mln zł

Zysk netto: 156 mln zł

Na dzień 31 grudnia 2025 r. łączny stan zobowiązań finansowych wyniósł 2,5 mld zł (w tym zadłużenie z tytułu finansowania typu project finance 1,5 mld zł). Stan środków pieniężnych wyniósł 0,4 mld zł. Suma bilansowa wyniosła 4,5 mld zł.

Na dzień 31 grudnia 2024 r. łączny stan zobowiązań finansowych wyniósł 2,1 mld zł (w tym zadłużenie z tytułu finansowania typu project finance 1,2 mld zł). Stan środków pieniężnych wyniósł 0,4 mld zł. Suma bilansowa wyniosła 3,4 mld zł.

Przedstawione dane mają charakter wstępny i mogą ulec zmianie po zakończeniu procesu sporządzania oraz badania przez biegłego rewidenta skonsolidowanego sprawozdania finansowego, który jest obecnie w toku. Ostateczne skonsolidowane wyniki zostaną przedstawione w skonsolidowanym raporcie rocznym Grupy Kapitałowej R.Power za 2025 rok, którego publikację zaplanowano na 21 kwietnia 2026 roku.

W załączniku przedstawiono informacje o wynikach segmentów sprawozdawczych Grupy R.Power za 2025 rok oraz dane porównawcze za 2024 rok.

ESPI - Current Report 8/2026 - Selected preliminary consolidated

financial results of the R.Power Group for 2025

The Management Board of R.Power S.A. with its registered office in

Warsaw (the "Issuer") hereby announces the preliminary selected

consolidated financial results of the R.Power Group.

The financial results presented below have been prepared in accordance

with the International Financial Reporting Standards ("IFRS"), and the

comparative data for the previous period have been appropriately

restated in order to ensure their compliance with IFRS and the

comparability of the presented information.

For the twelve-month period ended 31 December 2025, the R.Power Group

achieved:

Total revenues: PLN 628 million

EBITDA (operating profit before depreciation and amortisation): PLN 375

million

Financial result: PLN -128 million

Net profit: PLN 156 million

As at 31 December 2025, total financial liabilities amounted to PLN 2.5

billion (including PLN 1.5 billion of project finance debt). Cash and

cash equivalents amounted to PLN 0.4 billion. Total assets amounted to

PLN 4.5 billion.

As at 31 December 2024, total financial liabilities amounted to PLN 2.1

billion (including PLN 1.2 billion of project finance debt). Cash and

cash equivalents amounted to PLN 0.4 billion. Total assets amounted to

PLN 3.4 billion.

The presented data are preliminary and may change after completion of

the process of preparation and audit of the consolidated financial

statements by the statutory auditor, which is currently in progress. The

final consolidated results will be presented in detail in the

consolidated annual report of the R.Power Capital Group for 2025, the

publication of which is scheduled for 21 April 2026.

The attachment presents information on the results of the reportable

segments of the R.Power Group for 2025 together with comparative data

for 2024.
