Zabka Group SA z siedzibą w Luksemburgu ("Spółka") informuje, że w dniu 22 grudnia 2025 r. otrzymała od osoby pełniącej obowiązki zarządcze w Spółce, tj. Pana Wojciecha Kroka (Managing Director - Żabka Future, członka Komitetu Zarządzającego (Management Committee)) oraz od osoby blisko z nim związanej, tj. Alexandria Investments S. r.l., powiadomienia o transakcjach złożone w trybie art. 19 ust. 1 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylającego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE.

Powiadomienia związane są z przeniesieniem akcji Spółki należących do Pana Wojciecha Kroka na rzecz Alexandria Investments S. r.l., osoby blisko związanej z Panem Wojciechem Krokiem, w wyniku zawarcia umowy zbycia akcji.

Powiadomienia zostały załączone do niniejszego raportu.

Transaction notifications received pursuant to Article 19 of MAR

Legal basis:

Article 19 sec. 3 of MAR - information on transactions carried out by

persons discharging managerial responsibilities and persons closely

associated with them

Zabka Group SA with its registered office in Luxembourg (the "Company")

informs that on 22 December 2025 it received notifications of

transactions from a person discharging managerial responsibilities in

the Company, i.e. Mr. Wojciech Krok (Managing Director - Żabka Future,

member of the Management Committee), and from a person closely

associated with him, i.e. Alexandria Investments S. r.l., submitted

pursuant to Article 19(1) of Regulation (EU) No 596/2014 of the European

Parliament and of the Council of 16 April 2014 on market abuse (Market

Abuse Regulation), repealing Directive 2003/6/EC of the European

Parliament and of the Council and Commission Directives 2003/124/EC,

2003/125/EC, and 2004/72/EC.

The Notifications are related to the transfer of the Company's shares

from Mr. Wojciech Krok to Alexandria Investments S. r.l., a person

closely associated with Mr. Wojciech Krok, following the share purchase

agreement.
