Zygmunt Solorz, Justyna Kulka dismissed from supervisory board of ZE PAK power

Listed power group ZE PAK's shareholders have dismissed Polish billionaire Zygmunt Solorz and his wife Justyna Kulka from the supervisory board. Representatives of Radoslaw Kwasnicki, Solorz's associate and a shareholder in the company, objected to these decisions during the extraordinary general meeting.


On Wednesday, an extraordinary general meeting of shareholders of ZE PAK, a company belonging to Zygmunt Solorz's business empire, was held in Warsaw. The meeting was convened by the majority shareholder of ZE PAK, the Cypriot company Argumenol Investment Company Ltd. The agenda included items concerning the dismissal and appointment of members of the supervisory board.

At the very beginning of the meeting, a statement was made by a representative of one of Zygmunt Solorz's shareholders and associates, Radoslaw Kwasnicki. He referred to a temporary order issued by a court in Limassol, Cyprus, in August this year, which, at the request of Zygmunt Solorz, prohibited Argumenol from making any changes to the management of ZE PAK.

An appeal challenging these orders was filed with the Supreme Court of Cyprus in September by Solkomtel Foundation, another of the companies involved in the dispute between Zygmunt Solorz and his children. The orders were suspended by the supreme court pending consideration of the appeal, but, as Kwasnicki's representative pointed out, they will again be effective if the Solkomtel Foundation's appeal is rejected.

"Argumenol Investment Company Ltd., being fully aware of the above circumstances, decided to immediately take advantage of the suspension period of the interim order," Kwasnicki's representative pointed out.

In his opinion, the behaviour of ZE PAK's majority shareholder is in clear contradiction with the previously issued ban and will lead to another dispute.

These accusations were rejected by Jaroslaw Kolkowski, Argumenol's representative chairing the meeting. He pointed out that the aforementioned security measures are not in force and their effectiveness has been suspended by the Supreme Court of Cyprus.

In two secret ballots, the shareholders dismissed Zygmunt Solorz and his wife Justyna Kulka from the supervisory board.

After each vote, Kwasnicki's representative raised an objection. He pointed out that the resolutions had been adopted "in flagrant violation of good practice".

In the absence of candidates, the composition of the ZE PAK supervisory board was not supplemented. The general meeting was interrupted and will be continued on November 14.

On Friday, October 17, an extraordinary general meeting of shareholders of another company from Solorz's empire, Elektrim, will be held. The main item on the agenda also concerns changes to the supervisory board.

Changes in the supervisory board of ZE PAK are the latest episode in the conflict within Zygmunt Solorz's business empire. In September 2024, Gazeta Wyborcza daily reported that the billionaire's three children had sent a warning to the managers of the businessman's four most important companies. The letter stated that the welfare of these companies was threatened by people who wanted to take control of the business.

These companies include Polsat media company and enterprises of strategic importance to the state. The newspaper reported that Zygmunt Solorz's children were in a bitter dispute with Justyna Kulka, Solorz's wife. On the same day, Solorz announced that he would dismiss his sons from the management of the companies belonging to his holding company.

In October 2024, both of the billionaire's sons, Tobias Solorz and Piotr Zak, as well as lawyer Jaroslaw Grzesiak, were dismissed from the supervisory board of ZE PAK. Tobias Solorz and Piotr Zak also lost their positions in the supervisory boards of Cyfrowy Polsat, Netia and Polkomtel. Zygmunt Solorz's sons challenged the resolutions of the general meetings of ZE PAK and Cyfrowy Polsat in court. In July this year, both companies announced that the lawsuits had been withdrawn.

In May 2025, a court in Liechtenstein dismissed Zygmunt Solorz's lawsuit concerning changes to the statutes of his TiVi Foundation, under which control of Solorz's businesses would be taken over by his children. Zygmunt Solorz's chief advisor Radoslaw Kwasnicki reported in Puls Biznesu that an appeal against this non-final judgment was filed in June.

Zygmunt Solorz's main areas of interest are TMT, construction and energy. His companies are grouped together in the Polsat Plus Group, and Solorz is also the majority shareholder in ZE PAK.
