The Management Board of XTPL S.A. with its registered office in Wrocław

(the "Issuer," "Company") hereby announces that on February 16, 2026,

the Issuer received a notification prepared by a shareholder of the

Company pursuant to Article 69(1) of the Act on Public Offering

regarding the indirect acquisition of shares.
