The
Management Board of VIGO Photonics S.A. with its registered office in
Ożarów Mazowiecki (the _quot;Company_quot;, _quot;Issuer_quot;), hereby announces that on
September 20, 2024, it decided to commence a review of strategic options
regarding the further development of the Company. The purpose of the
review of strategic options is to analyze and assess possible courses of
action for the further development of the Company, including financing
the development of photonic integrated circuit (PIC) technology, as well
as infrared (IR) detectors and modules and other products of the Company.
The
Company will consider possible strategic options, which may include
acquiring a financial or strategic investor, or conducting another
transaction that may result in a change in the shareholder structure of
the Company. In the course of the review of strategic options, the
Company may engage in talks with various entities, and selected
entities, to the extent permitted by applicable law, may be provided
with additional information about the Company and its activities.
The
Company has engaged a financial advisor - PWC Advisory and a legal
advisor - DLA Piper to support the activities of the Company's
Management Board in connection with the review of strategic options.
At the
same time, the Management Board of the Company informs that no decision
regarding the selection of any strategic option has been made and it is
not certain whether and when such a decision will be made. The Company
will provide public information on the progress of the process of
reviewing strategic options in accordance with applicable legal
regulations.
During
the review of strategic options, the Company will continue to implement
the adopted strategy and operational plan.

basis: Article 17 section 1 of Regulation (EU) No 596/2014 of the
European Parliament and of the Council of 16 April 2014 on market abuse
(market abuse regulation) and repealing Directive 2003/6/EC of the
European Parliament and of the Council and Commission Directives
2003/124/EC, 2003/125/EC and 2004/72/EC.
