BANK PEKAO SA (20/2025) Określenie kierunkowych propozycji podziału zysku Banku Polska Kasa Opieki S.A. za lata 2025-2027

Bank Polska Kasa Opieki Spółka Akcyjna ("Bank") niniejszym informuje, iż w dniu 14 kwietnia 2025 r. Zarząd Banku podjął uchwałę określającą następujące kierunkowe propozycje podziału zysku Banku za lata 2025-2027:

(i) przeznaczenie na dywidendę za rok 2025 50%-75% zysku Banku za rok 2025,

(ii) przeznaczenie na dywidendę za rok 2026 50%-75% zysku Banku za rok 2026,

(iii) przeznaczenie na dywidendę za rok 2027 50%-75% zysku Banku za rok 2027.

Kierunkowe propozycje podziału zysku Banku za lata 2025-2027 mogą ulegać zmianie, w tym Zarząd Banku może rekomendować w poszczególnych latach podział zysku za dany rok w inny sposób niż wskazany powyżej, w szczególności w zależności od:

(i) rekomendacji i stanowisk Komisji Nadzoru Finansowego dotyczących podziału zysku,

(ii) ograniczeń wynikających z przepisów prawa, w szczególności Ustawy o nadzorze makroostrożnościowym nad systemem finansowym i zarządzaniu kryzysowym w systemie finansowym, Ustawy o Bankowym Funduszu Gwarancyjnym, systemie gwarantowania depozytów oraz przymusowej restrukturyzacji, Ustawy Prawo Bankowe,

(iii) wystąpienia istotnej zmiany tempa wzrostu aktywów ważonych ryzykiem,

(iv) istotnego pogorszenia sytuacji makroekonomicznej oraz sytuacji na rynkach finansowych w Polsce lub na świecie,

(v) wprowadzenia regulacji mających lub mogących mieć istotny wpływ na adekwatność kapitałową Banku lub Grupy Kapitałowej Banku,

(vi) nałożenia na Bank dodatkowych buforów kapitałowych.

Kierunkowe propozycje podziału zysku Banku za lata 2025-2027 uzyskały w dniu 14 kwietnia 2025 r. pozytywną ocenę Rady Nadzorczej Banku.

of guidelines regarding distribution of the profit of Bank Polska Kasa

Opieki S.A. for the years 2025-2027Bank Polska Kasa Opieki

Spółka Akcyjna (the "Bank") hereby informs that

on 14 April 2025, the Bank's Management Board adopted a resolution

specifying the following guidelines regarding distribution of the Bank's

profit for the years 2025-2027:(i) allocation of 50%-75% of the

Bank's profit for 2025 to the dividend for 2025,(ii) allocation of

50%-75% of the Bank's profit for 2026 to the dividend for 2026,(iii)

allocation of 50%-75% of the Bank's profit for 2027 for the dividend for

2027.Guidelines regarding the distribution of the Bank's profit

for the years 2025-2027 may change, and the Management Board may

recommend the distribution of profit for a given year during this period

that is different than the payout indicated above, in particular

depending on:(i) recommendations or stance of the Polish Financial

Supervision Authority regarding the distribution of profit,(ii)

restrictions under the law, in particular the Act on Macroprudential

supervision over the financial system and crisis management in the

financial system, the act on the Bank Guarantee Fund, deposit guarantee

scheme and compulsory restructuring, the Banking Law Act,(iii)

significant change in the growth rate of risk-weighted assets,(iv)

significant deterioration of the macroeconomic and financial markets

conditions in Poland or globally,(v) introduction of regulations

that have or could have a significant impact on the capital adequacy of

the Bank or the Capital Group of the Bank,(vi) imposing additional

capital buffers on the Bank.Guidelines for distribution of the

Bank's profit for the years 2025-2027 received a positive assessment of
