Boryszew SABoryszew sells 52 pct of shares in Hornet - Polskie Drony
Listed industrials group Boryszew and the Air Force Institute of Technology (ITWL) have entered into a conditional agreement under which ITWL has acquired 52 percent of shares in the special purpose vehicle Hornet - Polskie Drony from Boryszew, Boryszew said in a market filing. The remaining 48 percent of shares in the special purpose vehicle are held by Boryszew.
As stated, ITWL obtained the consent of the Minister of National Defence for the above-mentioned transaction, and the agreement was concluded subject to the consent of the head of Poland's antitrust and consumer protection regulator UOKiK for the planned concentration.
In accordance with the parties' intentions, the special purpose vehicle's activities will primarily involve the production of unmanned aerial weapon systems ('BPSU').
Boryszew and ITWL signed a cooperation agreement where Boryszew will finance the order, cover R&D and trial UAV production costs, and lease industrial space at its Sochaczew branch.
Detailed terms, including joint obligations for BPSU production, will be set in a separate investment agreement. ITWL will contribute BPSU production know-how, while Boryszew will finance operations and provide support using its existing infrastructure.
After obtaining the relevant permits and licences, Hornet - Polskie Drony is scheduled to commence operations in the second quarter of 2026.
