Zarząd Eco5tech S.A. z siedzibą w Warszawie ("Spółka", "Emitent") informuje o zawarciu w dniu 3 września 2025 r. dwóch umów ("Umowy") z Województwem Kujawsko - Pomorskim, reprezentowanym przez Zarząd Dróg Wojewódzkich w Bydgoszczy.

Przedmiotem pierwszej umowy jest: opracowanie dokumentacji projektowej dla zadania pn. "Likwidacja osuwisk wraz z rozbudową dróg wojewódzkich nr 266, nr 269, nr 538 i nr 543 - opracowanie dokumentacji projektowej".

Na podstawie drugiej umowy Emitent sprawować będzie nadzór autorski nad robotami budowlanymi wykonywanymi według opracowanej dokumentacji

w ramach realizacji przedmiotowego zamówienia.

Łączna wartość Umów stanowi 1 380 000,00 zł brutto.

Termin wykonania przedmiotu umowy w ramach prac projektowych wynosi 12 miesięcy od dnia podpisania umowy. Dla nadzoru autorskiego termin wykonania przedmiotu umowy rozpocznie się od dnia podpisania przez Zamawiającego umowy na wykonanie robót budowlanych do dnia odbioru końcowego. Nadzór autorski pełniony będzie przez cały okres realizacji robót budowlanych.

W ocenie Emitenta zawarcie przedmiotowych Umów może mieć istotny wpływ na perspektywy rozwoju Spółki oraz kształtowanie się sytuacji finansowej Spółki.

Conclusion

of a material agreement

The

Management Board of Eco5tech S.A. with its registered office in Warsaw

(the "Company", the "Issuer") hereby informs that on September 3, 2025

it concluded two agreements (the "Agreements") with the

Kujawsko-Pomorskie Voivodeship, represented by the Provincial Roads

Authority in Bydgoszcz.The

subject of the first Agreement is: development of design documentation

for the task entitled "Liquidation of landslides along with the

expansion of provincial roads No. 266, No. 269, No. 538 and No. 543 -

development of design documentation".On

the basis of the second Agreement, the Issuer will exercise author's

supervision over the construction works performed in accordance with the

developed documentation as part of the performance of the contract in

question.The

total value of the Agreements is PLN 1,380,000.00 including VAT.

The deadline for the completion of the subject of the Agreement as part of

the design works is 12 months from the date of signing the Agreement. For

the purpose of author's supervision, the deadline for the performance of

the subject of the Agreement will begin from the date of signing the

Agreement for the performance of construction works by the Ordering Party

until the date of final acceptance. The author's supervision will be

performed throughout the entire period of construction works.In

the Issuer's opinion, the conclusion of the said Agreements may have a

significant impact on the Company's development prospects and the

Company's financial situation.
