ENEFI ENERGIAHATEKONYSAGI NYRT. Extraordinary announcement

Podstawa prawna: ENEFI Energy Efficiency Plc. (registered seat: 1134 Budapest, Klapka utca 11., tax number: 13719069-

4-41 company registration No.: 01-10-045428, hereinafter referred to as the company) hereby

informs the investors in compliance with the obligation of extraordinary disclosure of information

according to Section 55 of the Capital Market Act No. CXX of 2001:

The Hungarian National Bank ("National Bank") as supervisory body issued a decision under No H-PJIII-

B-11/2016 on February 4, 2016. The National Bank ordered the followings in the decision:

I. The National Bank is warning the Issuer that it is obliged to fulfil the obligations defined in the

decisions of the National Bank completely and by the prescribed deadline in the future.

II. The National Bank is warning the Issuer that he is obliged to comply with statutory provisions

concerning the regular information completely and in the prescribed deadline in the framework of

which it is obliged to take action in any case in order to provide information on number of voting

rights and of capital stock in compliance with statutory provisions and by the prescribed deadline.

III. The National Bank calls upon the Issuer to fulfil the warning obligation defined in Section II of the

operative part of decision Nr. H-PJ-III-4/2016. (Decision) issued on 13th January 2016 immediately

after receipt of this Decision but at the very latest within one work day.

IV. The National Bank calls upon the Issuer to publish the number of voting rights regarding shares

and the measure of capital stock referring to last day January 2016 in compliance with statutory

provision immediately after receipt of this Decision but at the very latest within one workday.

V. By reason of breach of Section II of the operative part of Decision the National Bank obliges the

Issuer to pay a supervisory fine of HUF 2.000.000,-, i.e. Two Million Hungarian Forint.

VI. By reason of breach of statutory provision regarding the regular disclosure the National Bank

obliges the Issuer to pay a supervisory fine of HUF 650.000,-, i.e. Six Hundred Fifty Thousand

Hungarian Forint.
