MBF GROUP SA (58/2025) Zmiana modelu współpracy z Gołębiewski Holding Sp. z o.o. w zakresie dostaw cukru spożywczego

Postawa prawna: Art. 17 ust. 1 MAR - informacje poufne.

Zarząd MBF Group S.A. z siedzibą w Warszawie ("Emitent", "Spółka"), w nawiązaniu do raportu bieżącego ESPI nr 30/2025 z dnia 17 lipca 2025 roku, informuje, że Strony zgodnie postanowiły o rozwiązaniu Kontraktu obejmującego dostawy cukru spożywczego ICUMSA 45 na rzecz Gołębiewski Holding Sp. z o.o. (oddział TAGO), oraz o przejściu na model współpracy oparty na bieżących zamówieniach i dostawach realizowanych w formule sukcesywnej.

Decyzja wynika z istotnych wahań cen cukru w ostatnich miesiącach oraz zmiennej dostępności partii spełniających wymagane parametry jakościowe. W opinii Stron model bieżących zamówień lepiej zabezpiecza elastyczność kosztową i stabilność operacyjną, umożliwia dostosowanie wolumenów do faktycznych potrzeb produkcyjnych oraz pozwala na sprawniejsze reagowanie na zmiany rynkowe, przy jednoczesnym zachowaniu ciągłości dostaw do zakładu TAGO.

Zarząd Emitenta informuje, że od rozpoczęcia współpracy z Gołębiewski Holding Sp. z o.o. dostarczył towar o łącznej wartości ok. 422 tys. PLN (słownie: czterysta dwadzieścia dwa tysiące złotych). Celem Emitenta jest co najmniej utrzymanie dotychczasowej dynamiki dostaw w ramach nowego modelu współpracy oraz jej dalsze rozszerzanie w zależności od potrzeb odbiorcy i warunków rynkowych.

Strony podtrzymują wolę kontynuacji współpracy handlowej, a kolejne dostawy będą uzgadniane na bieżąco pod względem ceny, parametrów jakościowych i harmonogramu realizacji.

Emitent uznaje niniejszą informację za poufną w rozumieniu art. 17 ust. 1 MAR z uwagi na jej znaczenie dla struktury przychodów oraz utrzymania relacji z kluczowym odbiorcą w segmencie spożywczym.

The Management Board of MBF Group S.A. with its registered office in

Warsaw (the 'Issuer', 'Company'), with reference to ESPI current report

No. 30/2025 of 17 July 2025, hereby announces that the Parties have

mutually agreed to terminate the Contract covering the supply of ICUMSA

45 food sugar to Gołębiewski Holding Sp. z o.o. (TAGO branch), and to

switch to a cooperation model based on current orders and deliveries

carried out on a successive basis.

The decision results from significant fluctuations in sugar prices in

recent months and the variable availability of batches meeting the

required quality parameters. In the opinion of the Parties, the model of

current orders better secures cost flexibility and operational

stability, allows for the adjustment of volumes to actual production

needs and enables a more efficient response to market changes, while

maintaining continuity of supplies to the TAGO plant.

The Issuer's Management Board informs that since the commencement of

cooperation with Gołębiewski Holding Sp. z o.o., it has delivered goods

with a total value of approximately PLN 422,000 (in words: four hundred

and twenty-two thousand zlotys). The Issuer's goal is to at least

maintain the current dynamics of deliveries under the new cooperation

model and to further expand it depending on the customer's needs and

market conditions.

The parties maintain their willingness to continue commercial

cooperation, and subsequent deliveries will be agreed on an ongoing

basis in terms of price, quality parameters and delivery schedule.

The Issuer considers this information to be confidential within the

meaning of Article 17(1) of MAR due to its significance for the revenue

structure and maintaining relations with a key customer in the food

segment.
