MEDICALGORITHMICS SA (22/2025) Medicalgorithmics S.A. podpisała kontrakt z partnerem o globalnym zasięgu z gwarantowanymi minimalnymi rocznymi przychodami 382,8 tys. PLN

Medicalgorithmics S.A. z siedzibą w Warszawie ("Spółka"; "Emitent") informuje, że w dniu 13 sierpnia 2025 r. zawarł istotną Umowę ("Umowa") z międzynarodowym partnerem z Ameryki Północnej ("Partner").

W ocenie Zarządu Spółki, zawarcie Umowy jest kolejnym istotnym krokiem w realizacji strategii Spółki, przedstawionej w raporcie bieżącym nr 16/2023 z dnia 19 czerwca 2023 r., która ma na celu istotne zwiększenie przychodów i rentowności Spółki (dzięki jej wysokiej dźwigni operacyjnej) oraz prowadzić do generowania dodatnich przepływów pieniężnych. Umowa z Partnerem - północnoamerykańskim deep-techem, specjalizującym się w integrowaniu zaawansowanych materiałów, czujników i sztucznej inteligencji (AI), pozwoli Spółce na rozwój w nowym i perspektywicznym segmencie rynku inteligentnych tekstyliów.

Umowa obejmuje świadczenie określonych usług oraz licencjonowanie wiodącego oprogramowania DeepRhythmPlatform (DRP) z algorytmami sztucznej inteligencji DeepRhythmAI (DRAI) do analizy sygnałów EKG z tekstylnych urządzeń Partnera ("Produkt EKG"). Gwarantowane kontraktowo minimalne miesięczne wynagrodzenie za wykonane przez Partnera badania diagnostyczne wyniesie 31,9 tys. PLN (7,5 tys. EUR) i będzie obowiązywało po upływie czterech miesięcy od zakończenia prac integracyjnych umożliwiających Partnerowi komercyjne korzystanie z Produktu EKG Spółki lub przeprowadzenia przez Partnera (lub jego podwykonawcy) badania pierwszego pacjenta, w zależności od tego, które z tych zdarzeń nastąpi wcześniej. W momencie realizacji powyższych przesłanek i przy założeniu świadczenia usług przez okres kolejnych dwunastu miesięcy, minimalny gwarantowany roczny przychód z tytułu kontraktu wyniesie 382,8 tys. PLN.

Medicalgorithmics przeprowadzi integrację produktów i usług posiadanych przez Partnera w celu umożliwienia Partnerowi wykonywanie badań EKG dla swoich pacjentów oraz świadczenie usług objętych Umową z wykorzystaniem Produktu EKG na terytorium: Europy, Stanów Zjednoczonych, Zjednoczonych Emiratów Arabskich, Arabii Saudyjskiej, Izraela oraz Indii, z możliwością rozszerzenia na kolejne kraje na podstawie wzajemnych ustaleń stron. Wartość wynagrodzenia (określonego w EUR) za świadczone usługi będzie zależała od liczby sesji EKG analizowanych za pomocą oprogramowania Spółki w danym miesiącu przy ustalonej stawce za sesje zależne m. in. od długości badania i kraju, w którym badanie zostało przeprowadzone, z gwarantowanym minimalnym miesięcznym wynagrodzeniem (w EUR). Partner rozpocznie uiszczanie opłat za świadczenie usług w oparciu o liczbę identyfikatorów sesji po zakończeniu przez Medicalgorithmics S.A. integracji umożliwiających Partnerowi komercyjne świadczenie usług w oparciu o Produkt EKG.

Umowa została zawarta na czas nieokreślony, z możliwością jej wypowiedzenia przez każdą ze stron, przez Partnera z zachowaniem 180-dniowego okresu wypowiedzenia, a przez Spółkę z zachowaniem 365-dniowego okresu wypowiedzenia. Ponadto Umowa przewiduje możliwość jej natychmiastowego rozwiązania w przypadku rażącego naruszenia przez jedną ze stron, po wcześniejszym bezskutecznym wezwaniu do usunięcia uchybień. Umowa została zawarta zgodnie z prawem Anglii i Walii i zawiera standardowe postanowienia dotyczące oświadczeń i zapewnień, poufności oraz indemnifikacji, zgodne z branżowymi standardami.

Wartości w EUR wskazane w tym raporcie zostały przeliczone na PLN według kursu 4.2529 PLN/EUR.

S.A. with its registered office in Warsaw (the "Company";

the "Issuer") informs that on August 13, 2025, it entered

into a significant Agreement (the "Agreement") with an

international partner from North American ("Partner").

In the opinion

of the Company's Management Board, the conclusion of the Agreement is

another important step in the implementation of the Company's strategy,

presented in current report No. 16/2023 of June 19, 2023, which is aimed

at significantly increasing the Company's revenues and profitability

(leveraging its high operational leverage) and generate positive cash

flows. The agreement with the Partner - a North American deep-tech

company specializing in integrating advanced materials, sensors, and

artificial intelligence (AI) - will enable the Company to develop in a

new and promising segment of the smart textiles market.

The Agreement

covers the provision of certain services and the licensing of the

leading DeepRhythmPlatform (DRP) software with DeepRhythmAI artificial

intelligence algorithms (DRAI) for the analysis of ECG signals from the

Partner's textile devices (the "ECG Product"). The

contractual guaranteed minimum monthly remuneration for diagnostic tests

performed by the Partner will amount to PLN 31.9 thousand (EUR 7.5

thousand) and will apply after four months from the completion of

integration work enabling the Partner to commercially use the Company's

ECG Product or from the Partner's (or its subcontractor's) examination

of the first patient, whichever occurs first. Upon fulfillment of the

above premises and assuming the provision of services for a period of

twelve consecutive months, the minimum guaranteed annual revenue under

the contract will amount to PLN 382.8 thousand.

Medicalgorithmics

will integrate the products and services held by the Partner in order to

enable the Partner to perform ECG tests for its patients and provide

services under the Agreement using the ECG Product for services within

the territory of Europe, USA, UAE, KSA, Israel and India with the

possibility of extension to further countries subject to mutual consent

of the parties. The value of the remuneration (specified in EUR) for the

services provided will depend on the number of ECG sessions analyzed

with the Company's software in a given month at the agreed rate for

sessions depending, among other things, on the length of the test and

the country in which the test was conducted, with a guaranteed minimum

monthly remuneration (in EUR). The Partner will start paying fees for

the provision of services based on the number of session IDs after

Medicalgorithmics S.A. completes the integration enabling the Partner to

commercially provide services based on the ECG Product.The

Agreement was concluded for an indefinite period of time, with the

possibility of termination by either party, by the Partner with a

180-day notice period, and by the Company with a 365-day notice period.

In addition, the Agreement provides for the possibility of immediate

termination in the event of a material breach by one of the parties,

following a prior ineffective notice to remedy the breach. The Agreement

was concluded in accordance with the laws of England and Wales and

contains standard provisions regarding representations and warranties,

confidentiality, and indemnification, in line with industry standards.

exchange rate 4.2529 PLN/EUR
