SELVITA SA (15/2025) Otrzymanie istotnego zlecenia przez spółkę zależną Selvita S.A.

Zarząd Selvita S.A., z siedzibą w Krakowie ("Emitent" lub "Spółka") niniejszym informuje, że podmiot zależny Emitenta - Selvita Inc., otrzymał w dniu 26 czerwca 2025 roku dwa zamówienia na wykonanie prac ("Zlecenia") od spółki biotechnologicznej z siedzibą w Stanach Zjednoczonych ("Klient"). Zlecenia dotyczą kontynuacji prac nad zintegrowanym programem odkrywania leków Klienta, realizowanych w zakresie umowy ramowej o świadczenie usług zawartej z Klientem w lutym 2024 roku.

Przedmiotem Zleceń jest projekt zintegrowany, w ramach którego Spółka planuje świadczyć kompleksowe wsparcie naukowe w zakresie chemii medycznej (ang. Medicinal Chemistry, Med Chem), projektowania wspomaganego komputerowo (ang. Computer-Aided Drug Design, CADD), badań właściwości famakokinetycznych (ang. Absorption, Distribution, Metabolism, and Excretion/Pharmacokinetics, ADME/PK) oraz farmakologii in vitro. Projekt, w ramach którego będą realizowane usługi objęte Zleceniami dotyczy obszaru terapeutycznego związanego z chorobami ośrodkowego układu nerwowego o charakterze neurodegeneracyjnym. Współpraca z Klientem będzie realizowana w modelu ekwiwalentu pełnego etatu (ang. Full-Time Equivalent, FTE) z możliwością realizacji części działań w modelu opłaty za usługę (ang. Fee-For-Service, FFS), w zależności od zakresu usług. Zlecenia będą realizowane przez okres sześciu miesięcy.

Szacunkowa wartość obu Zleceń wynosi 1.389.442 USD (5.032.837 PLN przeliczone po średnim kursie Narodowego Banku Polskiego z dnia 26 czerwca 2025 roku, 1 USD = 3,6222 PLN). Całkowita szacunkowa wartość usług wykonanych na rzecz Klienta w całym 2025 roku - z uwzględnieniem Zleceń, wyniesie 2.740.493 USD (9.926.615 PLN przeliczone po średnim kursie Narodowego Banku Polskiego z dnia 26 czerwca 2025 roku, 1 USD = 3,6222 PLN).

Realizacja projektu wpisuje się w strategię rozwoju Spółki w obszarze świadczenia zintegrowanych usług badawczo-rozwojowych (ang. Integrated Drug Discovery, IDD) i stanowi potwierdzenie kompetencji Spółki w kompleksowym prowadzeniu projektów z zakresu wczesnych faz odkrywania leków.

Biorąc pod uwagę wartość Zleceń oraz strategiczny charakter kontynuacji współpracy w ramach zintegrowanego projektu odkrywania leków, Zarząd Emitenta uważa otrzymane Zleceń za istotne.

Receipt of a significant order by a company affiliated with Selvita S.A.

The Management Board of Selvita S.A., with its registered office in

Kraków (the "Issuer" or the "Company"), hereby informs that on June 26,

2025, the Issuer's subsidiary - Selvita Inc. - received two orders for

the provision of services (the "Orders") from a biotechnology company

headquartered in the United States (the "Client"). The Orders pertain to

the continuation of work under the Client's integrated drug discovery

program, performed under a master service agreement concluded with the

Client in February 2024.

The subject of the Orders is an integrated project, under which the

Company plans to provide comprehensive scientific support in the areas

of Medicinal Chemistry (Med Chem), Computer-Aided Drug Design (CADD),

Absorption, Distribution, Metabolism, and Excretion / Pharmacokinetics

(ADME/PK), and in vitro Pharmacology. The project covered by the Orders

relates to a therapeutic area associated with neurodegenerative central

nervous system disorders. Cooperation with the Client will be carried

out under the Full-Time Equivalent (FTE) model, with the possibility of

performing certain activities under the Fee-For-Service (FFS) model,

depending on the scope of services. The Orders will be executed for six

months.

The estimated total value of both Orders amounts to USD 1,389,442 (PLN

5,032,837, converted at the average exchange rate of the National Bank

of Poland as of June 26, 2025: USD 1 = PLN 3.6222). The total estimated

value of services provided to the Client in the entire year 2025,

including the Orders, will amount to USD 2,740,493 (PLN 9,926,615,

converted at the average exchange rate of the National Bank of Poland as

of June 26, 2025: USD 1 = PLN 3.6222).

The implementation of the project is in line with the Company's

development strategy in the field of Integrated Drug Discovery (IDD)

services and confirms the Company's competencies in managing

comprehensive early-stage drug discovery projects.

Considering the value of the Orders and the strategic nature of the

continued collaboration within the integrated drug discovery program,

the Management Board of the Issuer deems the received Orders to be

material.
