Zarząd BNP Paribas Bank Polska S.A. ("Bank") niniejszym informuje, że Zwyczajne Walne Zgromadzenie Banku w dniu 15 kwietnia 2025 r. powołało Panią Bożenę Leśniewską na członka Rady Nadzorczej Banku, z dniem 15 kwietnia 2025 r. do końca bieżącej, pięcioletniej, wspólnej kadencji członków Rady Nadzorczej, o której mowa w § 16 ust.1 Statutu Banku.

Poniżej Bank przekazuje informacje o kwalifikacjach i doświadczeniu zawodowym nowo powołanego niezależnego członka Rady Nadzorczej Banku.

Pani Bożena Leśniewska

Pani Bożena Leśniewska uzyskała tytuł magistra filologii polskiej na Uniwersytecie Jagiellońskim w Krakowie. Jest również absolwentką kilku programów podyplomowych, w tym Akademii Psychologii Przywództwa w Szkole Biznesu Politechniki Warszawskiej, ESG na Collegium Civitas, a także programów przedsiębiorczości na Uniwersytecie w Lyonie oraz Uniwersytecie Cranfield, "Advanced Management" na INSEAD oraz "Strategic Leadership for Executives" w paryskiej HEC.

Przez większość ponad trzydziestoletniej kariery zawodowej jest związana z branżą telekomunikacyjną. W 1992 r. rozpoczęła pracę w DHL International Ltd. Od 1996 r. odpowiadała za rynek sprzedaży w firmie Polkomtel S.A. W 2006 r. dołączyła do zespołu Orange Polska w PTK Centertel jako Zastępca Dyrektora Pionu Sprzedaży Rynku Biznesowego, a następnie Dyrektorka Pionu Sprzedaży do Klientów Biznesowych. Od 2008 r. była Dyrektorką Pionu Klientów Biznesowych, a potem Dyrektorką Sprzedaży jednocześnie w PTK Centertel i w Telekomunikacji Polskiej SA. Na tym stanowisku odpowiadała m.in. za zarządzanie strategią sprzedaży oraz wyniki handlowe. W tym czasie doprowadziła do integracji struktur sprzedaży B2C i B2B oraz stworzenia jednej z największych i najbardziej zróżnicowanych sieci sprzedażowych w Polsce. Następnie odpowiadała za transformację cyfrową w Orange Polska.

Pani Bożena Leśniewska od 2017 r. jako wiceprezeska Zarządu Orange Polska odpowiada za rynek biznesowy oraz spółki Integrated Solutions, BlueSoft i Craftware. Pozostaje także członkinią Rady Odpowiedzialnego Przywództwa przy Forum Odpowiedzialnego Biznesu, Rady Strategicznej Think Tank, Rady Fundacji Orange. Jest członkinią i byłą prezeską stowarzyszenia LiderShe, aktywną mentorką w programach mentoringowych, m.in. Fundacji Vital Voices i Fundacji Perspektywy, a także współautorką pierwszych w Europie studiów dla kobiet - Akademii Przywództwa Kobiet na Akademii Leona Koźmińskiego.

Pani Bożena Leśniewska spełnia wymogi określone w art. 22aa Ustawy Prawo Bankowe z dnia 29 sierpnia 1997 r. (z późniejszymi zmianami).

W oparciu o złożone oświadczenie stwierdzić należy, iż Pani Bożena Leśniewska nie prowadzi innej działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku.

Ponadto Pani Bożena Leśniewska nie została wpisana do Rejestru Dłużników Niewypłacalnych.

Appointment of a member of the Supervisory Board of BNP Paribas Bank

The Management Board of BNP Paribas Bank Polska S.A. (the "Bank") hereby

announces that the Bank's Ordinary General Meeting held on 15 April 2025

appointed Ms Bożena Leśniewska, as a member of the Bank's Supervisory

Board effective as of 15 April 2025 until the end of the current 5-year

term, pursuant to § 16 item 1 of the Bank's Articles of Association.

Hereby, the Bank discloses information on the expertise and professional

experience of the newly appointed independent member of the Supervisory

Board.

Ms Bożena Leśniewska

Ms Bożena Leśniewska holds a Master's degree in Polish Philology from

the Jagiellonian University in Krakow. She has also completed several

post-graduate programmes, including the Academy of Leadership Psychology

at the Warsaw University of Technology, ESG Business School at Collegium

Civitas, entrepreneurship programmes at the University of Lyon and

Cranfield University, Advanced Management at INSEAD and Strategic

Leadership for Executives at HEC-Paris.

She has been involved in the telecommunications industry for most of her

career spanning over thirty years. In 1992, she started working for DHL

International Ltd. In 1996, she joined Polkomtel S.A., where she was

responsible for the distribution market. In 2006 she joined the Orange

Polska team at PTK Centertel as Business Accounts Branch Director. From

2008 she was Business Accounts Branch Director and then Chief Sales

Officer at PTK Centertel and Telekomunikacja Polska S.A. at the same

time. In this position she was responsible for managing sales strategy

and commercial results. During this time, she led the integration of B2C

and B2B sales structures and the creation of one of the largest and most

diversified sales networks in Poland. Subsequently, she was responsible

for the digital transformation in Orange Polska.

Ms Bożena Leśniewska has been responsible for the business market and

Integrated Solutions, BlueSoft and Craftware since 2017 as Vice

President of the Management Board of Orange Polska. She is a member of

the Responsible Leadership Council of the Responsible Business Forum,

the Think Tank Strategy Council, the Orange Foundation Council. She is

also member and former President of LeaderShe Association, an active

mentor in mentoring programmes, including the Vital Voices Foundation

and the Perspektywy Foundation, and co-authored the first studies for

women in Europe - the Women's Leadership Academy at Koźmiński University.

Ms Bożena Leśniewska meets the requirements of Article 22aa of the

Banking Law of 29 August 1997 (as amended).

On the basis of the representation submitted, it should be stated that

Ms Bożena Leśniewska neither runs any other activity competitive to the

Bank nor is a partner in any company competitive to the Bank nor is a

member of a body of any company competitive to the Bank nor is a member

of a body of any other legal entity competitive to the Bank.

Furthermore, Ms Bożena Leśniewska has not been entered into the Register

of Insolvent Debtors.

March 29, 2018 on the current and periodic reports disclosed by the

securities issuers and on equivalence of information disclosures

required by law of non-EU member states (Journal of Laws of 2018, item

757).
