Podstawa prawna: Zarząd Spółki INVESTMENT FRIENDS CAPITAL SE z siedzibą w Tallinnie informuje, że w dniu 8.07.2025 roku właściwy dla prawa Estonii rejestr spółek handlowych (Ariregister) dokonał rejestracji zmian Statutu Spółki wynikających z uchwał podjętych na Zwyczajnym Walnym Zgromadzeniu Akcjonariuszy w dniu 31.03.2025 roku.

W związku z powyższym aktualne brzmienie punktu 2.1 i 2.4 Statutu Spółki jest następujące:

"2.1. Minimalny kapitał zakładowy spółki to 300 000 (trzysta tysięcy) euro, a maksymalny kapitał zakładowy to 1 200 000 (jeden milion dwieście tysięcy) euro."

"2.4. Najmniejsza liczba akcji spółki bez wartości nominalnej to 3 000 000 (trzy miliony), największa liczba akcji spółki to 12 000 000 (dwanaście milionów)."

Aktualnie kapitał zakładowy Spółki Investment Friends Capital SE wynosi 300 000,00 EURO oraz dzieli się na 3 000 000 akcji.

W załączeniu do niniejszego raportu Emitent przekazuje aktualne brzmienie Statutu Spółki w polskiej, angielskiej oraz estońskiej wersji językowej.

The Management Board of INVESTMENT FRIENDS CAPITAL SE, with its registered office in Tallinn, hereby announces that on 8/07/2025 the Commercial Companies Register (Ariregister) appropriate to Estonian law registered amendments to the Company's Articles of Association resulting from the resolutions adopted at the Annual General Meeting of Shareholders on 31/03/2025.

Therefore, the current wording of sections 2.1 and 2.4 of the Company's Articles of Association is as follows:

"2.1. The minimum amount of share capital of the Company is 300 000 (three hundred thousand) euros and the maximum amount of share capital is 1 200 000 (one million two hundred thousand) euros"

"2.4. The minimum number of the shares of the Company without nominal value is 3 000 000 (three million) shares and the maximum number of the shares of the Company without nominal value is 12 000 000 (twelve million) shares."

The current share capital of Investment Friends Capital SE is EUR 300 000,00 and is divided into 3 000 000 shares.

The Issuer provides the current version of the Company's Articles of Association in Polish, English, and Estonian as an attachment to this report.
