Podstawa prawna: Art. 56 ust. 1 pkt 2 Ustawy o ofercie - informacje bieżące i okresowe

Zarząd Jastrzębskiej Spółki Węglowej S.A. ["Spółka", "JSW"] informuje, iż 5 sierpnia 2025 roku Spółka otrzymała Postanowienie Sądu Rejonowego w Gliwicach, X Wydział Gospodarczy Krajowego Rejestru Sądowego [KRS], o dokonaniu 4 sierpnia 2025 roku rejestracji zmian Statutu Spółki. Zmiany Statutu Spółki zostały przyjęte uchwałą nr 45 Zwyczajnego Walnego Zgromadzenia JSW z dnia 21 lipca 2025 roku.

Spółka przekazuje w załączeniu treść zmienionych postanowień Statutu oraz tekst jednolity Statutu JSW.

Ponadto Spółka informuje, iż orzeczenie Sądu zawiera oczywistą omyłkę pisarską w postaci dodania do Statutu JSW S.A. § 18 pkt. 12 [1], podczas gdy dodanie wskazanej jednostki redakcyjnej nie było elementem uchwały nr 45 Zwyczajnego Walnego Zgromadzenia JSW z dnia 21 lipca 2025 roku, ani nie było przedmiotem wniosku Spółki o zmianę danych w rejestrze przedsiębiorców. W związku z tym, Spółka wystąpiła do KRS o sprostowanie przedmiotowego orzeczenia.

Podstawa prawna: § 5 pkt 1 Rozporządzenia Ministra Finansów z dnia 6 czerwca 2025 roku w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim.

by the Court of amendments to the Articles of Association of JSW S.A.

The

Management Board of Jastrzębska Spółka Węglowa S.A. ["Company", "JSW"]

informs that on August 5, 2025, the Company received the decision of the

District Court in Gliwice, 10th Commercial Division of the National

Court Register on the registration of the amendments to the Company's

Articles of Association on registration on August 4, 2025. The

amendments to the Company's Articles of Association were adopted by

Resolution no. 45 of the Ordinary Shareholder Meeting of JSW of July 21,

2025.

The Company

provides the text of the amended provisions of the Articles of

Association and the consolidated text of the Articles of Association of

JSW in the attachment to this report.

Moreover, the

Company reports that the Court's decision contains an obvious

copywriting error in the form of adding a section 12 [1] to § 18 of the

Articles of Association of JSW S.A., where adding the specified section

was not part of resolution number 45 adopted by JSW's Ordinary

Shareholder Meeting on 21 July 2025, nor was it the subject matter of

the Company's application to amend the data in the register of business

entities. Accordingly, the Company has petitioned KRS, the court of

registration, to rectify the Court's decision in question.

§ 5 point 1 of the Ordinance of the Minister of Finance dated 6 June

2025 on current and periodic information disclosed by issuers of

securities and the terms for recognising as equivalent information that

is required by the laws of a non-member state
