MBF GROUP SA (53/2025) Rozpoczęcie współpracy z PCO S.A. w zakresie technologii optoelektronicznych i C-UAS

Zarząd spółki MBF Group S.A. z siedzibą w Warszawie ("Emitent", "Spółka") informuje o podpisaniu w dniu 23 października 2025 roku umowy o zachowaniu poufności (NDA) z PCO Spółką Akcyjną z siedzibą w Warszawie ("Umowa"), wchodzącą w skład Polskiej Grupy Zbrojeniowej S.A. (PGZ).

Celem zawartej Umowy jest umożliwienie stronom wymiany informacji technicznych, handlowych oraz organizacyjnych niezbędnych do prowadzenia współpracy technologicznej w zakresie rozwoju projektu IRYDA Plus - polskiej koncepcji bezzałogowego samolotu myśliwskiego do zwalczania dronów i systemów C-UAS.

PCO S.A. to wiodący polski producent urządzeń optoelektronicznych, stanowiący część Polskiej Grupy Zbrojeniowej (PGZ). Firma specjalizuje się w projektowaniu i produkcji urządzeń noktowizyjnych, termowizyjnych i laserowych przeznaczonych dla wojska oraz służb mundurowych. PCO S.A. jest jedynym w Polsce producentem pełnej gamy tego rodzaju urządzeń i stanowi kluczowy element krajowego przemysłu obronnego.

Umowa określa szczegółowe zasady udostępniania, korzystania i ochrony informacji stanowiących tajemnicę przedsiębiorstwa, a także wprowadza wzajemne zobowiązania dotyczące poufności, integralności danych oraz zakazu działań konkurencyjnych wobec projektu w okresie jej obowiązywania. Umowa została zawarta na okres 12 miesięcy, bez prawa wcześniejszego wypowiedzenia.

W ocenie Zarządu Emitenta zawarcie Umowy z PCO S.A. otwiera możliwość współpracy technologicznej z jednym z najważniejszych podmiotów w krajowym sektorze obronnym. Emitent uznaje tę umowę za istotną z uwagi na jej potencjalny wpływ na rozwój przyszłych projektów badawczo-rozwojowych, w tym planowanych przedsięwzięć w obszarze systemów bezzałogowych (UAV/C-UAS), symulacyjnych i optoelektronicznych, a także na potencjalne przychody Spółki w kolejnych okresach.

Jednocześnie Zarząd Spółki informuje, że traktuje Umowę jako jedną z kluczowych zawartych w ramach projektu IRYDA Plus, która ze względu na swój charakter i znaczenie może mieć wpływ na efekty realizacji projektu, przyszłe przychody Emitenta oraz jego kurs giełdowy.

The Management Board of MBF Group S.A. with its registered office in

Warsaw (the 'Issuer', 'Company') hereby announces that on 22 October

2025 it signed a non-disclosure agreement (NDA) with PCO Spółka Akcyjna

with its registered office in Warsaw ('Agreement'), a member of Polska

Grupa Zbrojeniowa S.A. (PGZ).

The purpose of the Agreement is to enable the parties to exchange

technical, commercial and organisational information necessary for

technological cooperation in the development of the IRYDA Plus project -

a Polish concept for an unmanned fighter aircraft designed to combat

drones and C-UAS systems.

PCO S.A. is a leading Polish manufacturer of optoelectronic devices,

part of Polska Grupa Zbrojeniowa (PGZ). The company specialises in the

design and manufacture of night vision, thermal imaging and laser

devices for the military and uniformed services. PCO S.A. is the only

manufacturer in Poland of a full range of such devices and is a key

element of the national defence industry.

The agreement specifies detailed rules for the disclosure, use and

protection of information constituting trade secrets, and introduces

mutual obligations regarding confidentiality, data integrity and a

prohibition on competitive activities in relation to the project during

its term. The agreement was concluded for a period of 12 months, without

the right of early termination.

In the opinion of the Issuer's Management Board, the conclusion of the

Agreement with PCO S.A. opens up the possibility of technological

cooperation with one of the most important entities in the domestic

defence sector. The Issuer considers this agreement to be significant

due to its potential impact on the development of future research and

development projects, including planned projects in the area of unmanned

systems (UAV/C-UAS), simulation and optoelectronic systems, as well as

on the Company's potential revenues in subsequent periods.

At the same time, the Company's Management Board informs that it treats

the Agreement as one of the key agreements concluded as part of the

IRYDA Plus project, which, due to its nature and significance, may have

an impact on the results of the project, the Issuer's future revenues

and its share price.
