Zarząd spółki MBF Group S.A. z siedzibą w Warszawie ("Spółka", "Emitent") informuje, że w dniu 21 października 2025 roku podjął uchwałę nr MBF/2025/10/1 w sprawie powołania platformy doradczo-eksperckiej pod nazwą MBF Advisory Alliance (Sojusz Doradczo-Ekspercki MBF, MAA). Podjęcie uchwały o powołaniu platformy doradczo-eksperckiej ma na celu usystematyzowanie licznych rozmów i negocjacji prowadzonych przez Spółkę z osobami fizycznymi i prawnymi, które zgłosiły zainteresowanie współpracą oraz wsparciem merytorycznym w związku z działalnością MBF Group S.A.

Platforma MAA stanowi nową inicjatywę strategiczną Spółki, której celem jest utworzenie międzynarodowego środowiska współpracy skupiającego osoby fizyczne, spółki prawa handlowego oraz ekspertów branżowych wspierających Emitenta w zakresie doradztwa strategicznego, technologicznego, finansowego, prawnego i organizacyjnego. W szczególności dotyczy to inicjatyw związanych z projektami o charakterze militarnym i dual-use, realizowanymi przez Spółkę i jej partnerów przemysłowych. Do grona potencjalnych członków Platformy MAA należą osoby posiadające wysokie kwalifikacje wojskowe, naukowe lub techniczne, których zaangażowanie stanowić będzie istotną wartość dodaną dla rozwoju projektów oraz wzmocnienia kompetencji eksperckich MBF Group S.A

Platforma będzie pełniła funkcje doradcze, eksperckie, reprezentacyjne i analityczne, wspierając Zarząd w ocenie koncepcji projektowych, rekomendowaniu rozwiązań technicznych i finansowych, opracowywaniu analiz rynkowych oraz w budowaniu relacji międzynarodowych. Celem MAA jest również wsparcie rozwoju nowych kierunków działalności Spółki, w tym projektów przemysłowych, technologicznych i obronnych, realizowanych w Polsce i za granicą.

Zgodnie z uchwałą, do Platformy MAA będą mogły zostać zaproszone wybrane osoby i podmioty z Polski, Europy oraz innych regionów świata, z którymi Spółka prowadzi lub zamierza prowadzić rozmowy w zakresie rozwoju wspólnych przedsięwzięć i konsorcjów technologicznych. Udział w Platformie będzie możliwy wyłącznie po analizie przez Zarząd i na imienne zaproszenie Prezesa Zarządu MBF Group S.A.

Zarząd przewiduje również możliwość wdrożenia programu motywacyjnego opartego na warrantach subskrypcyjnych, które mogą zostać przyznane członkom Platformy w przypadku faktycznego sukcesu projektów, w których uczestniczyli. Celem tego programu jest zintegrowanie interesów członków Platformy z interesem akcjonariuszy MBF Group S.A. poprzez wspólne dążenie do wzrostu wartości Spółki.

Zgodnie z uchwałą, Platforma MAA ma charakter doradczy i nieformalny, jednak Zarząd dopuszcza możliwość jej przekształcenia w przyszłości w odrębną strukturę prawną - taką jak fundacja, stowarzyszenie lub spółka doradcza - w zależności od potrzeb organizacyjnych i skali działalności.

Uchwała Zarządu MBF Group S.A. w sprawie powołania platformy doradczo-eksperckiej MBF Advisory Alliance ma charakter informacji poufnej w rozumieniu art. 17 ust. 1 Rozporządzenia MAR, z uwagi na jej potencjalny wpływ na bieżące projekty Spółki, przyszłe przychody, rozwój nowych kierunków działalności oraz możliwy wpływ na kurs akcji Spółki.

The Management Board of MBF Group S.A. with its registered office in

Warsaw (the 'Company', "Issuer") hereby announces that on 21 October

2025 it adopted resolution No. MBF/2025/10/1 on the establishment of an

advisory and expert platform under the name MBF Advisory Alliance (MAA).

The adoption of the resolution on the establishment of the advisory and

expert platform is aimed at systematising the numerous discussions and

negotiations conducted by the Company with natural and legal persons who

have expressed interest in cooperation and substantive support in

connection with the activities of MBF Group S.A.

The MAA platform is a new strategic initiative of the Company, the aim

of which is to create an international cooperation environment bringing

together individuals, commercial law companies and industry experts

supporting the Issuer in the field of strategic, technological,

financial, legal and organisational consulting. This applies in

particular to initiatives related to military and dual-use projects

implemented by the Company and its industrial partners. Potential

members of the MAA Platform include individuals with high military,

scientific or technical qualifications, whose involvement will

constitute significant added value for the development of projects and

the strengthening of the expert competence of MBF Group S.A.

The Platform will perform advisory, expert, representative and

analytical functions, supporting the Management Board in evaluating

project concepts, recommending technical and financial solutions,

developing market analyses and building international relations. The MAA

also aims to support the development of new areas of the Company's

activity, including industrial, technological and defence projects

implemented in Poland and abroad.

In accordance with the resolution, selected individuals and entities

from Poland, Europe and other regions of the world with whom the Company

is conducting or intends to conduct talks on the development of joint

ventures and technological consortia may be invited to join the MAA

Platform. Participation in the Platform will only be possible after

analysis by the Management Board and upon personal invitation by the

President of the Management Board of MBF Group S.A.

The Management Board also envisages the possibility of implementing an

incentive programme based on subscription warrants, which may be granted

to Platform members in the event of the actual success of the projects

in which they participated. The aim of this programme is to integrate

the interests of Platform members with those of MBF Group S.A.

shareholders through a joint pursuit of growth in the Company's value.

According to the resolution, the MAA Platform is advisory and informal

in nature, but the Management Board allows for the possibility of

transforming it in the future into a separate legal structure - such as

a foundation, association or consulting company - depending on

organisational needs and the scale of operations.

The resolution of the Management Board of MBF Group S.A. on the

establishment of the MBF Advisory Alliance advisory and expert platform

is confidential information within the meaning of Article 17(1) of the

MAR Regulation, due to its potential impact on the Company's current

projects, future revenues, development of new areas of activity and

possible impact on the Company's share price.
