Raport bieżący 13/2025
W nawiązaniu do raportu bieżącego nr 12/2025 z dnia 13 marca 2025 r., Zarząd Santander Bank Polska S.A. ("Bank") niniejszym informuje, że 17 marca 2025 roku otrzymał od Komisji Nadzoru Finansowego ("KNF") informację o braku zastrzeżeń co do możliwości wypłaty przez Bank w formie dywidendy dla akcjonariuszy w 2025 r. także kwoty w wysokości 840 886 574,78 zł pochodzącej z Kapitału dywidendowego, utworzonego uchwałą Zwyczajnego Walnego Zgromadzenia nr 6 z dnia 22 marca 2021 r. w sprawie podziału zysku oraz utworzenia kapitału rezerwowego ("Kapitał dywidendowy").
Powyższa kwota została przeniesiona na Kapitał dywidendowy na podstawie uchwały Zwyczajnego Walnego Zgromadzenia nr 6 z dnia 19 kwietnia 2023 r. w sprawie podziału zysku oraz decyzji odnośnie kapitału rezerwowego utworzonego na podstawie uchwały nr 6 Zwyczajnego Walnego Zgromadzenia z dnia 22 marca 2021 r.
Tym samym, zgodnie z indywidualnym zaleceniem KNF, o którym Bank informował w raporcie bieżącym nr 12/2025 z dnia 13 marca 2025 oraz z powyższą informacją od KNF z dnia 17 marca 2025 roku, całkowita kwota możliwa do wypłaty akcjonariuszom przez Bank w 2025 roku wynosi
4 738 518 490,18 zł.
Rekomendacja Zarządu odnośnie do podziału zysku i możliwej wypłaty dywidendy w 2025 roku wraz z opinią Rady Nadzorczej zostanie opublikowana w formie odrębnego raportu bieżącego po podjęciu decyzji przez te organy.

Re: Information on potential paying dividend from the dividend reserve
in 2025.
In reference to current report no. 12/2025 of 13 March 2025, the
Management Board of Santander Bank Polska S.A. (Bank) hereby informs you
that on 17 March 2025, it was advised by the Polish Financial
Supervision Authority (KNF) that the KNF did not have any objections to
the potential payout of the additional amount of PLN 840,886,574.78 as a
dividend to shareholders in 2025; the amount derives from dividend
reserve created by force of resolution no. 6 of the Annual General
Meeting of 22 March 2021 on profit distribution and creation of capital
reserve (Dividend Reserve).
This amount was transferred to the Dividend Reserve pursuant to
resolution no. 6 of the Annual General Meeting of 19 April 2023 on
profit distribution and decision on the capital reserve created under
resolution no. 6 of the Annual General Meeting of 22 March 2021.
Thus, in line with the KNF's individual recommendation that the Bank
communicated to the market in current report no. 12/2025 of 13 March
2025 and the said information of 17 March 2025 from the KNF, the total
amount that the Bank can distribute to shareholders in 2025 is PLN
4,738,518,490.18.
The Management Board's recommendation regarding the distribution of
profit and possible dividend payment in 2025, together with the
Supervisory Board's opinion, will be published in the form of a separate
current report once these bodies have reached a decision.
