Zarząd XTPL S.A. ["Emitent", "Spółka", "XTPL"] informuje, że w dniu 1 października 2025 r. potwierdził przyjęcie zamówienia na dostawę modułu UPD (Ultra-Precise Dispensing, głowicy drukującej) do integracji przemysłowej.

Nabywcą jest producent zautomatyzowanych maszyn przemysłowych do produkcji mikroelektroniki oraz półprzewodników dla sektorów automotive oraz elektroniki konsumenckiej z siedzibą w Hiszpanii ["Klient"]. Otrzymane zamówienie jest wynikiem toczącej się ewaluacji technologii XTPL nakierowanej na jej wykorzystanie w obszarze automotive oraz elektroniki konsumenckiej. Klient jest już użytkownikiem urządzenia Delta Printing System ["DPS"], które nabył na wcześniejszym etapie procesu ewaluacji technologii (RB 25/2025 z dnia 26.08.2025).

Decyzja Partnera o zakupie modułu UPD oznacza uruchomienie przez Partnera budowy prototypowego urządzenia przemysłowego do zastosowań w obszarze mikroelektroniki oraz półprzewodników dla sektorów automotive oraz elektroniki konsumenckiej.

Przychody ze sprzedaży z tytułu realizacji zamówienia rozpoznane zostaną do końca roku 2025.

Zarząd Emitenta uznał fakt rozpoczęcia realizacji zamówienia na dostawę modułu UPD do kolejnej integracji przemysłowej za informację poufną ze względu na osiągnięcie kluczowego poziomu ewaluacji technologii o potencjalnym, istotnym znaczeniu dla przyszłego rozwoju Spółki. Współpraca potwierdza także pozytywny wpływ pierwszego wdrożenia przemysłowego na dynamikę nowych projektów wdrożeniowych rozwiązań Spółki. Sprzedaż modułu drukującego potwierdza atrakcyjność rozwiązania technologicznego oferowanego przez Spółkę na rynku europejskim oraz dalszy potencjał komercjalizacyjny technologii XTPL w ramach linii biznesowej modułów drukujących do integracji przemysłowej.

Z przyczyn wyżej opisanych informacje przekazane w niniejszym raporcie bieżącym w opinii Zarządu Emitenta spełniają kryteria informacji poufnej w rozumieniu art. 7 ust. 1 MAR.

Customer launches the construction of a prototype industrial device for

applications in the automotive and consumer electronics sectors.

Content of the Report:

The Management Board of XTPL S.A. (the "Issuer", the "Company", "XTPL")

reports that on October 1, 2025, it confirmed the acceptance of an order

for the delivery of a UPD (Ultra-Precise Dispensing) module (printing

head) for industrial integration.

The buyer is a manufacturer of automated industrial machines for the

production of microelectronics and semiconductors for the automotive and

consumer electronics sectors, based in Spain ("Customer"). The order is

the result of an ongoing evaluation of XTPL technology focused on its

potential application in the automotive and consumer electronics

sectors. The Customer already uses the Delta Printing System ("DPS")

device, which it acquired at an earlier stage of the technology

evaluation process (Current Report 25/2025 of August 26, 2025).

The Partner's decision to purchase the UPD module marks the beginning of

work on a prototype industrial device for microelectronics and

semiconductor applications in the automotive and consumer electronics

sectors.

Sales revenue connected with the order will be recognized by the end of

2025.

The Issuer's Management Board has decided that the commencement of

execution of the order for the delivery of the UPD module for another

industrial integration is inside information due to the achievement of a

key level of technology evaluation with a potentially significant

importance for the Company's future development. This cooperation

further demonstrates the positive impact of the first industrial

implementation on the pace of the Company's new deployment projects. The

sale of the printing module highlights the attractiveness of the

Company's technology in the European market and underscores the further

commercialization potential of XTPL's printing module business line for

industrial integration.

Accordingly, for the reasons described above, in the Management Board's

opinion the information disclosed in this current report meets the

criteria of inside information within the meaning of Article 7(1) MAR.
