Zarząd XTPL S.A. ("Emitent", "Spółka", "XTPL") informuje, że w dniu 30 września 2025 r. Spółka otrzymała i zrealizowała zamówienie złożone przez partnera w Hiszpanii, SMT Worldwide ("Partner"), na dostawę urządzenia Delta Printing System ("DPS").

Zamówienie stanowi pierwszą transakcję w ramach podpisanej z SMT umowy dystrybucyjnej w marcu 2025 r. [RB 10/2025 z dnia 13 marca 2025] i stanowi element realizacji przetargu dla jednego z uniwersytetów w Hiszpanii ("Klient końcowy"), w ramach prac badawczo-rozwojowych w sektorze mikroelektroniki i mikrofluidyki.

Przychody uzyskane z bieżącego zamówienia na urządzenia będą miały pozytywny wpływ na wyniki finansowe XTPL S.A. osiągnięte w 2025 r. Zamówienie to stanowi początek ekspansji na nowy rynek, ale co ważniejsze, oznacza nawiązanie współpracy z integratorem, otwierając nowe możliwości rozwoju.

Zarząd Emitenta uznał sprzedaż urządzenia DPS za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację przychodową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także perspektywę postrzegania Emitenta przez inwestorów.

Z powyższych względów informacje zawarte w niniejszym raporcie bieżącym, w opinii Zarządu Emitenta, spełniają kryteria informacji poufnej w rozumieniu art. 7 ust. 1 rozporządzenia MAR.

Content of the Report:

The Management Board of XTPL S.A. (the "Issuer," "Company," "XTPL")

announces that on September 30, 2025, the Company received and fulfilled

an order placed by its partner in Spain, SMT Worldwide (the "Partner"),

for the delivery of a Delta Printing System ("DPS") device.

The order is the first transaction under the distribution agreement

signed with SMT in March 2025. [CR 10/2025 of March 13, 2025] and is

part of the implementation of a tender for one of the universities in

Spain ("End Customer") as part of research and development work in the

microelectronics and microfluidics sector.

The revenue generated from the current order for devices will have a

positive impact on XTPL S.A.'s financial results in 2025. This order

marks the beginning of expansion into a new market, but more

importantly, it signifies the establishment of cooperation with an

integrator, opening up new opportunities for development.

The Issuer's Management Board considered the sale of the DPS device to

be confidential information, as its implementation may have a

significant impact on the Issuer's future revenue situation, the

popularization of the Company's technological solutions, and the

Issuer's perception by investors.

For the above reasons, the information contained in this current report,

in the opinion of the Issuer's Management Board, meets the criteria for

confidential information within the meaning of Article 7(1) of the MAR

Regulation.
