XTPL SA (7/2025) Zawarcie niewyłącznej umowy dystrybucji rozwiązań technologicznych Emitenta na terenie Japonii

Zarząd XTPL S.A. ["Emitent", "Spółka", "XTPL"] informuje, że w dniu 19 lutego 2025 roku pomiędzy Emitentem a Printed Electronics Corporation z siedzibą w Japonii ["PEC", "Dystrybutor"] została podpisana niewyłączna umowa dystrybucji rozwiązań technologicznych Emitenta ["Umowa"].

Na mocy podpisanej Umowy Dystrybutor będzie reklamował i sprzedawał rozwiązania technologiczne XTPL na terenie Japonii. Współpraca ma na celu wsparcie XTPL w dotarciu do nowych Klientów akademickich i przemysłowych, znalezieniu szerszych zastosowań dla technologii i produktów XTPL oraz będzie skupiać się na wprowadzaniu rozwiązań z obszaru fotowoltaiki cienkowarstwowej, memrystorów i czujników.

PEC to firma dostarczająca na terenie Japonii materiały i urządzenia do celów badawczych oraz produkcyjnych do uczelni oraz branż takich jak półprzewodnikowa czy telekomunikacyjna. W ramach współpracy Dystrybutor będzie promował rozwiązania XTPL wśród swoich obecnych i nowych klientów.

Zarząd Emitenta uznał fakt zawarcia przedmiotowej Umowy dystrybucji na znaczący rynek za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację przychodową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także na perspektywę postrzegania Emitenta przez inwestorów.

W związku z powyższym, w opinii Zarządu informacja o zawarciu Umowy spełnia kryteria wskazane w art. 7 ust. 1 Rozporządzenia MAR.

Content of the Report:

The Management Board of XTPL S.A. ["Issuer", "Company", "XTPL"]

announces that on Februrary 19, 2025, a non-exclusive distribution

agreement for the Issuer's technology solutions ["Agreement"] was signed

between the Issuer and Printed Electronics Corporation headquartered in

Japan ["PEC", "Distributor"].

Under the signed Agreement, the Distributor will advertise and sell

XTPL's technology solutions in Japan. The cooperation is intended to

support XTPL in finding new Customers in academia and industry as well

as seeking broader applications for its technologies and products and

will focus on introducing solutions in the thin film photovoltaics,

memristors and sensors.

PEC is a company supplying research and manufacturing equipment and

materials in Japan to the universities and industries such as

semiconductor or telecommunications. As part of the cooperation, the

Distributor will promote XTPL's solutions to its existing and new

customers.

The Issuer's Management Board considered the fact that the Distribution

Agreement in question was concluded for a significant market to be

confidential information, as its implementation may have a significant

impact on the Issuer's future revenue situation, the popularization of

the Company's technological solutions, as well as the prospect of

investors' perception of the Issuer.

In view of the above, in the opinion of the Management Board, the

information on the conclusion of the Agreement meets the criteria

indicated in Article 7(1) of the MAR Regulation.
