The

Management Board of Vivid Games S.A. (hereinafter: "Company", "Issuer"),

informs that on September 20, 2024, it adopted a resolution on

increasing the share capital, based on the authorization granted by the

Ordinary General Meeting of the Company on June 7, 2023, contained in §

7 of the Company's Articles of Association.

In

connection with the above resolution of the Management Board, the

Company's share capital was increased by PLN 2,325,000 to PLN 5,553,577

through the issuance of 23,250,000 ordinary bearer shares with a par

value of PLN 0.10 each.

The

issue of series I shares will be carried out through a private

placement, the shares will be offered to Gemini Grup_#279; UAB based in

Vilnius, Republic of Lithuania, as part of the implementation of the

investment agreement concluded on September 20, 2024, which the Issuer

announced in ESPI current report No. 26/2024 dated September 20, 2024.

The issue price of the shares is PLN 0.225 per share.

The

shareholder will acquire series I shares in exchange for a cash

contribution.

With

the approval of the Company's Supervisory Board, existing shareholders

have been deprived of their subscription rights to series I shares.

Attached,
