ALIOR BANK SA (3/2025) Zgoda Komisji Nadzoru Finansowego na powołanie Pana Piotra Żabskiego na stanowisko Prezesa Zarządu Alior Banku S.A.

Zarząd Alior Bank S.A. ("Bank"), informuje, że 7 lutego 2025 r. Komisja Nadzoru Finansowego wyraziła zgodę na powołanie Pana Piotra Żabskiego na stanowisko Prezesa Zarządu Banku.

Rada Nadzorcza Banku powołała Pana Piotra Żabskiego od dnia 1 listopada 2024 r. w skład Zarządu Banku trzyletniej VI kadencji wspólnej, która rozpoczęła się z dniem 1 stycznia 2024 r., na stanowisko Wiceprezesa Zarządu Banku, o czym Bank informował w Raportach bieżących nr 35/2024 oraz 42/2024.

Ponadto, Rada Nadzorcza Banku powołała Pana Piotra Żabskiego na stanowisko Prezesa Zarządu Banku, pod warunkiem wyrażenia stosownej zgody przez Komisję Nadzoru Finansowego oraz z dniem wydania tejże zgody.

Jednocześnie, Rada Nadzorcza Banku powierzyła ze skutkiem od dnia 1 listopada 2024 r. Panu Piotrowi Żabskiemu kierowanie pracami Zarządu Banku do czasu uzyskania zgody Komisji Nadzoru Finansowego na powołanie go na stanowisko Prezesa Zarządu Banku.

Otrzymanie przedmiotowej zgody oznacza spełnienie warunku objęcia funkcji Prezesa Zarządu Banku.

Informacja o wykształceniu i przebiegu pracy zawodowej Pana Piotra Żabskiego została przekazana w raporcie bieżącym nr 35/2024 z 1 sierpnia 2024 r.

Podstawa prawna: § 5 pkt 5 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim.

Approval of the Polish Financial Supervision Authority for the

appointment of Mr. Piotr Żabski as the President of the Management Board

of Alior Bank S.A.

The Management Board of Alior Bank S.A. (_quot;Bank_quot;) hereby informs that on

February 7, 2025, the Polish Financial Supervision Authority expressed

consent for the appointment of Mr. Piotr Żabski as the President of the

Bank's Management Board.

The Bank's Supervisory Board appointed Mr. Piotr Żabski as of November

1, 2024, to the Bank's Management Board for the current three-year joint

VI term of office, which began on January 1, 2024, to the position of

Vice-President of the Bank's Management Board, as announced by the Bank

in Current Reports No. 35/2024 and 42/2024.

In addition, the Supervisory Board of the Bank appointed Mr. Piotr

Żabski to the position of the President of the Management Board of the

Bank, subject to the relevant consent of the Polish Financial

Supervision Authority and as of the date of such approval.

At the same time, the Bank's Supervisory Board entrusted Mr. Piotr

Żabski with the management of the Bank's Management Board with effect

from November 1, 2024, until given the consent of the Polish Financial

Supervision Authority to appoint him to the position of the President of

the Bank's Management Board.

Obtaining the said consent results in fulfilment of the condition of

becoming the President of the Bank's Management Board.

Information about the education and professional career of Mr. Piotr

Żabski has been presented in the Current Report No. 35/2024 from August

1, 2024.
