Comarch SAComarch IT parties now hold 100 pct of company's shares following compulsory buyout
Chamonix Investments Poland has acquired 160,003 shares in listed IT company Comarch at PLN 332.2 (EUR 77.2) per share. The acquired shares represent 2 percent of the share capital and 1.09 percent of the total number of votes in the company, Comarch said in a press release. This means that the parties to the agreement already hold 100 percent of Comarch's shares.
The shareholder requesting the buyout and acquiring the shares was Chamonix Investments Poland, controlled by CVC Capital Partners Fund IX.
Following the completion of the transaction, the parties to the agreement hold a total of 8,133,349 Comarch shares, representing 100 percent of the share capital and entitling them to exercise 15,126,949 votes (100 percent of the total number of votes).
At the end of October, the Filipiak family, together with CVC Capital Partners Fund IX and Anna Prokop, bought shares in Comarch in a tender offer, representing 98 percent of the capital and 98.9 percent of the votes.
After the tender offer, the shareholders' agreement held 7,973,346 shares in the company.
As stated, the parties to the agreement reaching 100 percent of the company's shares will allow the company to realise the delisting of its shares from the regulated market and enable its further development as a private company.
The next step will be the submission of an application to Poland's financial watchdog KNF to withdraw the company from trading on the Warsaw Stock Exchange (delisting).
