Comarch IT shareholders vote to delist company from Warsaw Stock Exchange

During an extraordinary general meeting, shareholders of listed IT company Comarch voted to delist the company's shares from the Warsaw Stock Exchange, Comarch announced in a press release. The delisting is part of a planned process aimed at allowing Comarch to continue its development as a private company.


The next step in this process will be to submit an application to Poland's financial watchdog KNF for the removal of the company's shares from trading.

"The company, likely as a private entity, wants to implement a long-term development strategy in collaboration with CVC Capital Partners, the elements of which we will present internally in the coming months," said Comarch's board member and CFO Konrad Taranski.

"It will be prepared by the management and executive team in consultation with the company's shareholders," he added.

The delisting from the Warsaw Stock Exchange is a step in the planned long-term joint investment between CVC and the Filipiak family, resulting in entities controlled by CVC Capital Partners Fund IX becoming majority shareholders of the company.

On December 4, 2024, the mandatory buyout (squeeze out) was completed, and on December 8, 2024, an extraordinary general meeting took place to vote on the resolution regarding the delisting of the company's shares.

"Under the squeeze-out procedure, 160,003 shares representing 2 percent of the company's share capital and 1.09 percent of the total voting rights were acquired," the company wrote.

The acquiring entity was Chamonix Investments Poland, controlled by CVC Capital Partners Fund IX.

As a result, the Filipiak family, along with CVC Capital Partners Fund IX and Anna Prokop, now collectively hold shares representing 100 percent of the capital and total voting rights of the company.
