MBF GROUP SA (30/2025) Zawarcie kluczowego kontraktu na dostawy cukru spożywczego na rzecz Gołębiewski Holding Sp. z o.o.

Zarząd MBF Group SA z siedzibą w Warszawie ("Emitent", "Spółka") informuje, że w dniu 17 lipca 2025 roku został zawarty kontrakt z Gołębiewski Holding Sp. z o.o. z siedzibą w Ciemnem oddział TAGO, obejmujący sukcesywne dostawy cukru spożywczego ICUMSA 45 w okresie od 1 października 2025 roku do 31 marca 2026 roku ("Kontrakt"). Całkowita wartość Kontraktu to ok. 4.450.000 PLN (słownie: cztery miliony czterysta pięćdziesiąt tysięcy złotych), co przy bieżącym kursie odpowiada kwocie ok. 1.044.700 EUR (jeden milion czterdzieści pięć tysięcy euro).

Dostawy będą realizowane na warunkach DDP (Incoterms 2020) do stałej lokalizacji odbiorczej wskazanej przez Kupującego - zakład produkcyjny marki cukierniczej TAGO. Kontrakt przewiduje stałą cenę jednostkową w całym okresie jego obowiązywania oraz 30-dniowy termin płatności z limitem kredytowym wynoszącym maksymalnie 360 ton (15 x FTL). W zakresie nieuregulowanym umową, zastosowanie mają Ogólne Warunki Sprzedaży (OWS) zaakceptowane przez obie Strony.

Do kluczowych postanowień umowy i OWS należą m.in.: obowiązek zapewnienia przez Kupującego warunków sprawnego rozładunku, zasada niezwłocznego zgłaszania ewentualnych reklamacji (do 3 dni roboczych), prawo Sprzedającego do wstrzymania kolejnych dostaw w przypadku opóźnień płatniczych, a także przejście ryzyka na Kupującego z chwilą dostawy. Dodatkowo, Towar pozostaje własnością Sprzedającego aż do momentu pełnej zapłaty, co zabezpiecza interes Emitenta w przypadku zaległości.

Gołębiewski Holding Sp. z o.o. to renomowana grupa kapitałowa znana przede wszystkim z prowadzenia sieci hoteli czterogwiazdkowych, a także z realizacji największego w Polsce projektu hotelowego w Pobierowie. Integralną częścią Gołębiewski Holding jest oddział TAGO - producent wyrobów cukierniczych z siedzibą w Ciemnem k. Warszawy, działający nieprzerwanie od 1966 roku. TAGO należy do największych zakładów cukierniczych w Polsce, eksportując swoje tradycyjne słodycze - w tym herbatniki, wafle, rurki i pierniki - do ponad 60 krajów na pięciu kontynentach.

Niezależnie od podpisanego Kontraktu, za porozumieniem obu Stron, Emitent rozpoczął dwa tygodnie temu realizację tzw. dostaw pilotowych. Celem tych dostaw, trwających do końca września 2025 roku, jest dopasowanie operacyjnego modelu współpracy, optymalizacja procedur odbioru i dokumentacji oraz przetestowanie pełnego łańcucha logistycznego z wykorzystaniem systemu zamówień cyklicznych. Wartość dostaw pilotowych, których harmonogram i parametry zostały uzgodnione z Kontrahentem, wynosi ok. 521.500 PLN (słownie: pięćset dwadzieścia jeden tysięcy pięćset złotych). Zakończenie etapu próbnego umożliwi płynne przejście do regularnej realizacji kontraktu głównego w IV kwartale 2025 roku.

Jednocześnie Spółka informuje, że zgodnie z zapisami kontraktu, możliwe jest przedłużenie jego obowiązywania o kolejne dwa kwartały oraz zwiększenie wolumenu dostaw do 4.500 ton. W opinii Zarządu, skala i warunki zawartej współpracy mają charakter strategiczny i będą stanowiły podstawę do dalszego rozwoju operacyjnego Spółki w obszarze handlu produktami spożywczymi.

Zarząd MBF Group SA podkreśla, że zawarty Kontrakt ma charakter strategiczny i jego realizacja stanowi istotny krok w kierunku wdrożenia ambitnej strategii rozwoju Spółki na lata 2024-2026 i kolejne, zarówno w zakresie przychodów, jak i zyskowności operacyjnej. Umowa ta nie tylko zapewnia stabilne źródło przychodów w IV kwartale 2025 roku oraz I kwartale 2026 roku, ale także tworzy fundament dla dalszej ekspansji MBF Group SA w segmencie spożywczym i przemysłowym (także we współpracy z ww. kontrahentem).

Emitent zdecydował o publikacji komunikatu z uwagi na fakt, iż Kontrakt generuje solidne podstawy finansowe, które mogą zostać wykorzystane do stopniowego rozwijania nowych segmentów działalności o wysokiej barierze wejścia (UAV, C-UAS i in.) - także tych związanych z technologiami specjalistycznymi oraz innowacjami o potencjalnym zastosowaniu w sektorach cywilnych i przemysłowych. Nadto ma on wpływ na istotny poziom przychodów już w I półroczu 2025 roku.

Conclusion of a key contract for the supply of table sugar to

Gołębiewski Holding Sp. z o.o.

The Management Board of MBF Group SA with its registered office in

Warsaw (the 'Issuer', 'Company') hereby announces that on 17 July 2025,

a contract was concluded with Gołębiewski Holding Sp. z o.o. with its

registered office in Ciemne, branch TAGO, covering successive deliveries

of ICUMSA 45 food sugar in the period from 1 October 2025 to 31 March

2026 ('Contract'). The total value of the Contract is approximately PLN

4,450,000 (in words: four million four hundred and fifty thousand

zlotys), which at the current exchange rate corresponds to approximately

EUR 1,044,700 (one million forty-four thousand euros).

Deliveries will be made on DDP terms (Incoterms 2020) to a fixed

delivery location specified by the Buyer - the production plant of the

TAGO confectionery brand. The Contract provides for a fixed unit price

throughout its term and a 30-day payment term with a credit limit of up

to 360 tonnes (15 x FTL). In matters not covered by the contract, the

General Terms and Conditions of Sale (GTCS) accepted by both Parties

shall apply.

The key provisions of the agreement and the GTCS include, among others:

the Buyer's obligation to ensure efficient unloading conditions, the

principle of immediate notification of any complaints (within 3 working

days), the Seller's right to suspend further deliveries in the event of

payment delays, and the transfer of risk to the Buyer upon delivery. In

addition, the Goods remain the property of the Seller until full payment

has been made, which secures the Issuer's interests in the event of

arrears.

Gołębiewski Holding Sp. z o.o. is a renowned capital group known

primarily for operating a chain of four-star hotels and for implementing

the largest hotel project in Poland in Pobierowo. An integral part of

Gołębiewski Holding is TAGO, a confectionery manufacturer based in

Ciemne near Warsaw, operating continuously since 1966. TAGO is one of

the largest confectionery manufacturers in Poland, exporting its

traditional sweets, including biscuits, wafers, rolls and gingerbread,

to over 60 countries on five continents.

Regardless of the signed Contract, by mutual agreement of both Parties,

the Issuer began pilot deliveries two weeks ago. The purpose of these

deliveries, which will continue until the end of September 2025, is to

adjust the operational model of cooperation, optimise receipt and

documentation procedures, and test the entire logistics chain using a

recurring order system. The value of the pilot deliveries, whose

schedule and parameters have been agreed with the Counterparty, amounts

to approximately PLN 521,500 (in words: five hundred and twenty-one

thousand five hundred zlotys). The completion of the trial phase will

enable a smooth transition to the regular performance of the main

contract in the fourth quarter of 2025.

At the same time, the Company informs that, in accordance with the

provisions of the contract, it is possible to extend its term by another

two quarters and increase the volume of deliveries to 4,500 tonnes. In

the opinion of the Management Board, the scale and terms of the

cooperation are of a strategic nature and will constitute the basis for

the Company's further operational development in the area of food

product trade.

The Management Board of MBF Group SA emphasises that the concluded

Contract is of a strategic nature and its implementation constitutes an

important step towards the implementation of the Company's ambitious

development strategy for 2024-2026 and beyond, both in terms of revenue

and operating profitability. This agreement not only provides a stable

source of revenue in the fourth quarter of 2025 and the first quarter of

2026, but also lays the foundation for the further expansion of MBF

Group SA in the food and industrial segments (also in cooperation with

the above-mentioned contractor).

The Issuer decided to publish this announcement due to the fact that the

Contract generates a solid financial basis that can be used to gradually

develop new business segments with high barriers to entry (UAV, C-UAS,

etc.), including those related to specialised technologies and

innovations with potential applications in the civil and industrial

sectors. Furthermore, it will have a significant impact on revenues

already in the first half of 2025.
