MBF GROUP SA (63/2025) Podpisanie umów z AutoBOX Innovations - integracja pojazdów STAR z systemem Iryda Plus i Mallard

Zarząd spółki MBF Group S.A. z siedzibą w Warszawie ("Emitent", "Spółka") informuje o podpisaniu w dniu 12 listopada 2025 roku dwóch umów z firmą AutoBOX Innovations Sp. z o.o. Sp. j. z siedzibą w Starachowicach ("Partner"): Umowy o strategicznej współpracy i doradztwie technologicznym oraz Umowy o zachowaniu poufności i nieomijaniu (NCNDA). Zarząd zawiadamia, że spośród szeregu umów podpisywanych obecnie w ramach realizacji projektów IRYDA Plus oraz Mallard uznał je za szczególnie istotne. Ich znaczenie wynika zarówno z kluczowej roli pojazdów STAR 266M2 jako komponentu naziemnego w systemie IRYDA PLUS oraz Mallard, jak i z faktu, że współpraca ta realnie wzmacnia zdolności wdrożeniowe i przemysłowe Konsorcjum, otwierając możliwość szerokiego wykorzystania zmodernizowanej platformy STAR w zastosowaniach cywilnych, przemysłowych i obronnych.

Firma AutoBOX Innovations, należący do Grupy Zasada, jest jedynym właścicielem praw do dokumentacji technicznej samochodów ciężarowych marki STAR, w tym modelu STAR 266 oraz jego zmodernizowanej wersji STAR 266M2. Firma specjalizuje się w modernizacji i produkcji pojazdów terenowych oraz specjalistycznych ciężarówek dla Sił Zbrojnych RP, służb mundurowych i technicznych. Zmodernizowane pojazdy STAR 266M2 stanowią obecnie podstawowy element parku transportowego Wojska Polskiego - spółka dostarcza rocznie kilkaset egzemplarzy w różnych konfiguracjach logistycznych i warsztatowych, w tym w ramach kontraktów zawieranych z Ministerstwem Obrony Narodowej.

Zgodnie z wiedzą Emitenta, pojazdy marki STAR stanowią obecnie podstawowy komponent parku transportowego Sił Zbrojnych Rzeczypospolitej Polskiej. Ich powszechne zastosowanie w strukturach logistycznych i operacyjnych wojska sprawia, że integracja systemu IRYDA PLUS z platformą STAR 266M2 znacząco zwiększa potencjał wdrożeniowy Spółki. Oparcie rozwiązań MBF Group o krajowy pojazd znany i eksploatowany przez SZ RP zapewnia pełną kompatybilność eksploatacyjną, a zarazem stanowi konkurencyjną propozycję w przyszłych przetargach organizowanych przez polskie wojsko i inne formacje mundurowe.

W ramach zawartych porozumień Strony wyraziły zgodę na wspólne występowanie w przetargach, projektach i postępowaniach ofertowych, w których pojazdy marki STAR 266M2 stanowić będą integralny komponent systemu IRYDA PLUS lub innych przedsięwzięć prowadzonych przez konsorcjum MBF Group S.A. Współpraca obejmuje również możliwość składania wspólnych ofert handlowych, opracowywania koncepcji demonstracyjnych i rozwojowych oraz prowadzenia wspólnych działań promocyjnych w kraju i za granicą. Strony zadeklarowały wolę długofalowej współpracy, obejmującej zarówno projekty o charakterze militarnym, cywilnym, jak i dual-use, z zachowaniem zasad poufności, wzajemnego doradztwa technologicznego oraz wspólnego wykorzystania efektów prac rozwojowych.

Marka STAR ma szczególne znaczenie dla projektu IRYDA PLUS, ponieważ symbolizuje polską myśl techniczną, trwałość i niezawodność, a jej integracja z nowoczesnymi systemami bezzałogowymi wpisuje się w ideę połączenia tradycji z innowacją. W ramach zawartego porozumienia pojazdy STAR 266M2 będą pełnić rolę komponentu naziemnego systemu IRYDA Plus, stanowiąc platformę transportową, logistyczną i operatorską przeznaczoną do obsługi, dowodzenia i serwisowania dronów. Tego typu rozwiązanie zapewni spójność logistyczną, łatwość wdrożenia oraz wykorzystanie istniejących zasobów technicznych Sił Zbrojnych RP.

Współpraca między Emitentem a AutoBOX Innovations obejmuje integrację pojazdu STAR 266M2 z systemem IRYDA Plus, opracowanie wersji specjalistycznej STAR 266M2 Operator, prowadzenie wspólnych testów integracyjnych i poligonowych oraz wymianę wiedzy technicznej i organizacyjnej. Strony planują również opracowanie modeli demonstracyjnych oraz wspólne uczestnictwo w krajowych i zagranicznych projektach przemysłowych i badawczo-rozwojowych.

Zarząd Spółki podkreśla, że podpisanie umów z AutoBOX Innovations stanowi jedno z kluczowych porozumień w ramach programu IRYDA Plus oraz Mallard, a jednocześnie istotny element konsolidacji krajowych kompetencji przemysłowych i badawczych. Współpraca z producentem pojazdów marki STAR nie tylko wzmacnia potencjał technologiczny Emitenta, lecz także zwiększa jego wiarygodność i konkurencyjność w postępowaniach krajowych i międzynarodowych. W ocenie Zarządu, jest to porozumienie o charakterze strategicznym, łączące tradycję polskiej motoryzacji z nowoczesnymi rozwiązaniami z zakresu technologii bezzałogowych.

Zawarte umowy wpisują się w szerszy plan rozwoju krajowego potencjału technologicznego w ramach projektów IRYDA Plus i Mallard, których celem jest budowa kompletnych, zintegrowanych systemów bezzałogowych nowej generacji, zdolnych do operowania w środowisku cywilnym, przemysłowym i obronnym.

Emitent uznaje niniejszą informację za poufną w rozumieniu art. 17 ust. 1 MAR z uwagi na jej znaczenie strategiczne dla rozwoju projektów IRYDA PLUS i Mallard oraz jej potencjalny wpływ na wyniki finansowe, możliwości ekspansji rynkowej i wizerunek Spółki.

The Management Board of MBF Group S.A. with its registered office in

Warsaw (the 'Issuer', "Company") announces that on 12 November 2025 it

signed two agreements with AutoBOX Innovations Sp. z o.o. Sp. j. with

its registered office in Starachowice (the 'Partner'): Agreement on

strategic cooperation and technological consulting and Agreement on

confidentiality and non-circumvention (NCNDA). The Management Board

announces that, among a number of agreements currently being signed as

part of the IRYDA Plus and Mallard projects, it considers these to be

particularly important. Their significance stems both from the key role

of STAR 266M2 vehicles as a ground component in the IRYDA PLUS and

Mallard systems, and from the fact that this cooperation effectively

strengthens the Consortium's implementation and industrial capabilities,

opening up the possibility of widespread use of the modernised STAR

platform in civil, industrial and defence applications.

AutoBOX Innovations, part of the Zasada Group, is the sole owner of the

technical documentation rights for STAR trucks, including the STAR 266

model and its modernised version, the STAR 266M2. The company

specialises in the modernisation and production of off-road vehicles and

specialised trucks for the Polish Armed Forces, uniformed services and

technical services. The modernised STAR 266M2 vehicles are currently a

key component of the Polish Army's transport fleet - the company

supplies several hundred units annually in various logistics and

workshop configurations, including under contracts concluded with the

Ministry of National Defence.

To the Issuer's knowledge, STAR vehicles are currently the basic

component of the transport fleet of the Polish Armed Forces. Their

widespread use in the logistics and operational structures of the army

means that the integration of the IRYDA PLUS system with the STAR 266M2

platform significantly increases the Company's implementation potential.

Basing MBF Group's solutions on a domestic vehicle known and operated by

the Polish Armed Forces ensures full operational compatibility and, at

the same time, constitutes a competitive proposition in future tenders

organised by the Polish military and other uniformed services.

Under the agreements, the Parties have agreed to jointly participate in

tenders, projects and bidding procedures in which STAR 266M2 vehicles

will be an integral component of the IRYDA PLUS system or other projects

carried out by the MBF Group S.A. consortium. The cooperation also

includes the possibility of submitting joint commercial offers,

developing demonstration and development concepts, and conducting joint

promotional activities in Poland and abroad. The parties have declared

their willingness to engage in long-term cooperation, covering military,

civil and dual-use projects, while maintaining confidentiality, mutual

technological consulting and joint use of the results of development

work.

The STAR brand is of particular importance to the IRYDA PLUS project, as

it symbolises Polish technical thought, durability and reliability, and

its integration with modern unmanned systems is in line with the idea of

combining tradition with innovation. Under the agreement, STAR 266M2

vehicles will serve as the ground component of the IRYDA Plus system,

providing a transport, logistics and operational platform for the

operation, command and servicing of drones. This type of solution will

ensure logistical consistency, ease of implementation and the use of

existing technical resources of the Polish Armed Forces.

The cooperation between the Issuer and AutoBOX Innovations includes the

integration of the STAR 266M2 vehicle with the IRYDA Plus system, the

development of a specialised version of the STAR 266M2 Operator, the

conduct of joint integration and field tests, and the exchange of

technical and organisational knowledge. The parties also plan to develop

demonstration models and jointly participate in domestic and foreign

industrial and research and development projects.

The Company's Management Board emphasises that the signing of agreements

with AutoBOX Innovations is one of the key agreements within the IRYDA

Plus and Mallard programmes, and at the same time an important element

in the consolidation of domestic industrial and research competences.

Cooperation with the manufacturer of STAR vehicles not only strengthens

the Issuer's technological potential, but also increases its credibility

and competitiveness in domestic and international proceedings. In the

opinion of the Management Board, this is a strategic agreement,

combining the tradition of the Polish automotive industry with modern

solutions in the field of unmanned technologies.

The agreements are part of a broader plan to develop national

technological potential within the IRYDA Plus and Mallard projects,

which aim to build complete, integrated, new-generation unmanned systems

capable of operating in civil, industrial and defence environments.

The issuer considers this information to be confidential within the

meaning of Article 17(1) of MAR due to its strategic importance for the

development of the IRYDA PLUS and Mallard projects and its potential

impact on the Company's financial results, market expansion

opportunities and image.
