MBF GROUP SA (66/2025) Zawarcie umowy poufności w zakresie współpracy technologicznej z Politechniką Warszawską w ramach projektu MALLARD

Zarząd spółki MBF Group S.A. z siedzibą w Warszawie ("Emitent", "Spółka"), w nawiązaniu do raportu bieżącego ESPI nr 43/2025 z dnia 4 września 2025 r. dotyczącego zawarcia strategicznej umowy konsorcjum w zakresie rozwoju i wdrażania technologii UAV, C-UAS/BSP oraz systemów transportu bezzałogowego ("Konsorcjum"), informuje o podpisaniu w dniu 21 listopada 2025 roku umowy z Politechniką Warszawską ("Partner", "Uczelnia") o zachowaniu poufności i nieomijaniu (NCNDA) w trakcie współpracy technologicznej, regulującej zasady wymiany informacji, ochrony know-how oraz potencjalnej współpracy technologicznej w ramach projektu MALLARD. Ze strony Uczelni umowa została podpisana przez Dziekana Wydziału Mechanicznego Energetyki i Lotnictwa - prof. dr. hab. inż. Artura Rusowicza.

Umowa określa zasady udostępniania danych technicznych, dokumentacji projektowej, wyników badań, materiałów operacyjnych oraz informacji handlowych związanych z rozwojem systemu MALLARD oraz pozostałych przedsięwzięć realizowanych przez Konsorcjum. Strony dopuszczają możliwość prowadzenia wspólnych analiz inżynierskich, konsultacji eksperckich, prac badawczo-rozwojowych, opracowywania wytycznych certyfikacyjnych oraz udziału Uczelni w procesach oceny technologicznej i operacyjnej.

Politechnika Warszawska, jako największa uczelnia techniczna w Polsce, dysponuje znaczącym dorobkiem w zakresie inżynierii lotniczej, automatyki, robotyki, aerodynamiki, materiałoznawstwa oraz systemów sterowania. Współpraca z Uczelnią pozwala Konsorcjum na prowadzenie procesów walidacji technologicznej i optymalizacji konstrukcyjnej zgodnie ze standardami przemysłowymi, a także na potencjalne wykorzystanie infrastruktury badawczej na potrzeby projektu MALLARD i przyszłych wdrożeń.

Zawarcie przedmiotowej umowy stanowi ostatni element cyklu kluczowych porozumień przygotowawczych Konsorcjum, którego celem było pozyskanie strategicznych partnerów technologicznych, przemysłowych i instytucjonalnych dla projektów IRYDA Plus oraz MALLARD. Na obecnym etapie przedsięwzięcie wchodzi w fazę właściwych prac operacyjnych, rozwojowych, testowych oraz komercjalizacyjnych realizowanych z kontrahentami, współpracownikami i jednostkami naukowymi.

W związku z powyższym Zarząd Emitenta informuje, że proces raportowania dotyczący zawierania umów o charakterze poufności, konsultacyjnym, technicznym i przygotowawczym w ramach Konsorcjum zostaje zakończony. Kolejne raporty bieżące ESPI publikowane będą wyłącznie w przypadku wystąpienia zdarzeń mogących mieć istotny wpływ na sytuację operacyjną, finansową lub rozwojową Emitenta, w szczególności, lecz nie wyłącznie, dotyczących:

- podpisania umów w zakresie finansowania projektów w dalszych etapach rozwoju,

- podpisania umów z kontrahentami krajowymi lub zagranicznymi,

- pozyskania partnerów technologicznych, inwestycyjnych lub produkcyjnych,

- umów dotyczących testów, wdrożeń, homologacji, licencjonowania i dystrybucji,

- wyników testów operacyjnych i poligonowych,

- uzyskiwania pozwoleń i zgód regulacyjnych, m.in. PAŻP, Urzędu Lotnictwa Cywilnego (ULC), Ministerstwa Infrastruktury, EASA, ICAO, instytucji certyfikacyjnych UE oraz odpowiednich organów obronnych,

- rozpoczęcia procesów przedsprzedażowych, eksportowych lub komercjalizacyjnych.

Emitent uznał publikację niniejszej informacji za zasadną z uwagi na jej znaczenie organizacyjne, operacyjne oraz strategiczne dla realizacji projektów Konsorcjum, a także ich potencjalny wpływ na przyszłą działalność i rozwój MBF Group S.A., zgodnie z art. 17 ust. 1 Rozporządzenia MAR.

Conclusion of a confidentiality agreement on technological

cooperation with the Warsaw University of Technology as part of the

MALLARD project

The Management Board of MBF Group S.A. with its registered office in

Warsaw (the 'Issuer', 'Company'), with reference to ESPI current report

No. 43/2025 of 4 September 2025 concerning the conclusion of a strategic

consortium agreement on the development and implementation of UAV

technology, C-UAS/BSP and unmanned transport systems ('Consortium'),

hereby announces the signing on 21 November 2025 of an agreement with

the Warsaw University of Technology ('Partner', 'University') on

confidentiality and non-circumvention (NCNDA) during technological

cooperation, regulating the rules for the exchange of information,

protection of know-how and potential technological cooperation within

the MALLARD project. On behalf of the University, the agreement was

signed by the Dean of the Faculty of Power and Aeronautical Engineering,

Prof. Artur Rusowicz, PhD.

The agreement sets out the rules for sharing technical data, design

documentation, research results, operational materials and commercial

information related to the development of the MALLARD system and other

projects implemented by the Consortium. The parties allow for the

possibility of conducting joint engineering analyses, expert

consultations, research and development work, developing certification

guidelines and the University's participation in technological and

operational assessment processes.

As the largest technical university in Poland, the Warsaw University of

Technology has significant achievements in the fields of aeronautical

engineering, automation, robotics, aerodynamics, materials science and

control systems. Cooperation with the University allows the Consortium

to conduct technological validation and design optimisation processes in

accordance with industry standards, as well as to potentially use the

research infrastructure for the MALLARD project and future

implementations.

The conclusion of this agreement is the final element in a series of key

preparatory agreements by the Consortium, the aim of which was to

acquire strategic technological, industrial and institutional partners

for the IRYDA Plus and MALLARD projects. At this stage, the project is

entering the phase of actual operational, development, testing and

commercialisation work carried out with contractors, collaborators and

scientific entities.

In connection with the above, the Issuer's Management Board hereby

announces that the process of reporting on the conclusion of

confidentiality, consultation, technical and preparatory agreements

within the Consortium has been completed. Subsequent ESPI current

reports will be published only in the event of events that may have a

significant impact on the Issuer's operational, financial or development

situation, in particular, but not exclusively, concerning:

- the signing of agreements for the financing of projects in further

stages of development,

- the signing of agreements with domestic or foreign contractors,

- the acquisition of technological, investment or production partners,

- agreements concerning testing, implementation, approval, licensing and

distribution,

- the results of operational and field tests,

- obtaining regulatory permits and approvals, including from the Polish

Air Navigation Services Agency (PAŻP), the Civil Aviation Authority

(ULC), the Ministry of Infrastructure, EASA, ICAO, EU certification

bodies and relevant defence authorities,

- the commencement of pre-sales, export or commercialisation processes.

The Issuer considered the publication of this information to be

justified due to its organisational, operational and strategic

significance for the implementation of the Consortium's projects, as

well as their potential impact on the future operations and development

of MBF Group S.A., in accordance with Article 17(1) of the MAR

Regulation.
