MBF GROUP SA (7/2025) Zakończenie dostawy próbnej mocznika oraz rozpoczęcie negocjacji w sprawie dostaw regularnych

Zarząd spółki MBF Group SA z siedzibą w Warszawie ("Emitent", "Spółka"), w nawiązaniu do Raportu Bieżącego ESPI nr 48/2024 z dn. 30 grudnia 2024 roku, informuje, że zakończył realizację próbnej dostawy mocznika niepowlekanego N46 ("Towar") dla kontrahenta z siedzibą w Mediolanie, Włochy ("Kontrahent").

Dostarczony produkt przeszedł pozytywną weryfikację w zakresie możliwości jego stosowania do produkcji płynu AdBlue, przy konieczności redukcji aldehydów. W związku z tym strony przejdą do rozmów dotyczących regularnych dostaw w całym 2025 roku. Kontrahent podtrzymał wcześniejsze deklaracje o możliwym miesięcznym zapotrzebowaniu na poziomie max. 1000 ton.

Jednocześnie Emitent informuje, że z uwagi na wyczerpanie stanu magazynowego, kolejne dostawy mocznika (lub kontynuacja w przypadku innych odbiorców) będą mogły na nowo rozpocząć się w połowie lutego bieżącego roku, zarówno dla kontrahenta z Włoch, jak i dla pozostałych kontrahentów. Ostateczne warunki długoterminowej współpracy z Kontrahentem będą przedmiotem dalszych negocjacji, o których Spółka poinformuje w kolejnych raportach bieżących ESPI.

Dodatkowo Zarząd Spółki informuje, że prowadzi rozmowy bezpośrednio z producentami mocznika technicznego klasy A i B oraz mocznika rolniczego klasy B w zakresie dostaw do magazynu Emitenta bez udziału podmiotów trzecich (rafinerie w Uzbekistanie i Turkmenistanie). Związane jest to z otrzymanymi listami intencyjnymi oraz zweryfikowanymi zamówieniami na ww. produkty w ilości sięgającej 2.500 MT / miesiąc (łącznie wszystkie rodzaje produktu). Przy pozytywnym efekcie toczonych negocjacji - warunki handlowe i transakcyjne będą opublikowane stosownym raportem bieżącym.

Emitent zdecydował o publikacji niniejszej informacji, ponieważ może mieć ona istotny wpływ na przyszłą sytuację finansową, majątkową oraz gospodarczą Spółki.

The Management Board of MBF Group SA with its registered office in

Warsaw (_#8216;Issuer', _#8216;Company'), with reference to the ESPI Current Report

No. 48/2024 of 30 December 2024, announces that it has completed a trial

delivery of uncoated urea N46 (_#8216;Goods') to a contractor based in Milan,

Italy (_#8216;Contractor').

The delivered product has passed a positive verification regarding its

applicability for the production of AdBlue fluid, with the need for

aldehyde reduction. As a result, the parties will proceed to discussions

regarding regular deliveries throughout 2025. The counterparty

reiterated earlier declarations of a possible monthly demand of max.

1,000 tonnes.

At the same time, the Issuer informs that due to depletion of the stock,

the next urea deliveries (or continuation in the case of other

customers) will be able to start anew in mid-February this year, both

for the Italian counterparty and for the other counterparties. The final

terms of long-term cooperation with the Contractor will be subject to

further negotiations, which the Company will inform about in subsequent

ESPI current reports.

In addition, the Company's Management Board informs that it is holding

talks directly with producers of technical urea class A and B and

agricultural urea class B in terms of supplies to the Issuer's warehouse

without third parties (refineries in Uzbekistan and Turkmenistan). This

is related to the received letters of intent and verified orders for the

aforementioned products in the amount of up to 2,500 MT / month (total

of all product types). With a positive outcome of the ongoing

negotiations - the commercial and transaction terms will be published in

an appropriate current report.

The Issuer has decided to publish this information, as it may have a

significant impact on the future financial, property and economic

situation of the Company.
