Na podstawie Art. 17 ust. 1 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylającego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE, Zarząd Orange Polska S.A. ("Orange Polska", "Spółka") informuje o rekomendacji dotyczącej podziału zysku za rok 2024.

Orange Polska zwiększy dywidendę o 10%, Zarząd zarekomendował wypłatę 0,53 zł na akcję w 2025 roku

W dniu 12 lutego 2025 roku Zarząd Orange Polska podjął uchwałę o zarekomendowaniu Zwyczajnemu Walnemu Zgromadzeniu Akcjonariuszy wypłaty dywidendy pieniężnej w wysokości 0,53 zł na akcję w 2025 roku z zysków za 2024 rok. Jest ona zgodna ze strategią .Grow i bierze pod uwagę osiągnięte wyniki finansowe oraz ich przyszłe perspektywy. Propozycja ta stanowi wzrost o 10% wobec dywidendy 0,48 zł na akcję wypłaconej w 2024 roku, będąc jednocześnie trzecim kolejnym zwiększeniem dywidendy, po tym jak Spółka wróciła do wypłat dywidend w 2022 roku. W tym okresie dywidenda wzrosła ponad dwukrotnie.

Zarząd zaproponuje Walnemu Zgromadzeniu Akcjonariuszy Orange Polska następujące terminy dotyczące dywidendy:

- dzień ustalenia prawa do dywidendy (tzw. dzień "D"): 25 czerwca 2025 r.

- dzień wypłaty dywidendy (tzw. dzień "W"): 9 lipca 2025 r.

Ostateczną decyzję w przedmiocie podziału zysku podejmie Walne Zgromadzenie Akcjonariuszy Orange Polska.

Pursuant to Art. 17

clause 1 of the Regulations (eu) no 596/2014 of the European Parliament

and of the Council of 16 April 2014 on market abuse (market abuse

regulation) and repealing Directive 2003/6/EC of the European Parliament

and of the Council and Commission Directives 2003/124/EC, 2003/125/EC

and 2004/72/EC, the Management Board of Orange Polska S.A. ("Orange

Polska", "Company") announces recommendation regarding 2024 profit

distribution.

Orange Polska to

increase its dividend by 10% with management recommending to pay PLN

0.53 per share in 2025

On 12 February 2025 the

Management Board of Orange Polska has adopted a resolution to recommend

to the Annual General Meeting of Shareholders payment of a cash dividend

of PLN 0.53 per share in 2025 from 2024 profits, in line with .Grow

dividend policy, taking into account Company's financial results and

projections. This proposal constitutes a 10% increase versus PLN 0.48

per share dividend paid in 2024 and is the third consecutive increase of

the dividend after it was reinstated in 2022. The dividend has more than

doubled over this period.

of Shareholders with regard to dividend dates:
