PCF GROUP SA (14/2025) Wstrzymanie prac deweloperskich nad projektem Gemini

Zarząd spółki PCF Group S.A. z siedzibą w Warszawie ("Spółka") informuje, że w związku z upływem okresu obowiązywania dotychczasowej umowy wykonawczej (content rider) do umowy produkcyjno-wydawniczej dotyczącej projektu Gemini realizowanego przez grupę Spółki ("Grupa") w Europie w modelu work-for-hire na rzecz Square Enix Limited ("Umowa Wydawnicza", "Wydawca"), przy jednoczesnym nie zawarciu kolejnej umowy wykonawczej do Umowy Wydawniczej, z dniem 1 czerwca 2025 r. Grupa wstrzymuje prace deweloperskie na tym projekcie.

Powyższe zdarzenie jest konsekwencją nieprzedstawienia Spółce przez Wydawcę projektu kolejnej umowy wykonawczej do Umowy Wydawniczej obejmującej warunki realizacji dalszych etapów produkcji (milestones) projektu Gemini, obejmujących okres po zakończeniu dotychczas obowiązującej umowy wykonawczej do Umowy Wydawniczej oraz braku komunikacji ze strony Wydawcy co do woli kontynuacji lub zakończenia projektu Gemini, co doprowadziło do powstania istotnej niepewności dotyczącej intencji Wydawcy w sprawie dokończenia projektu Gemini. Biorąc powyższe pod uwagę, na moment publikacji niniejszego raportu bieżącego Zarząd ocenia, że dalsza współpraca pomiędzy Grupą i Wydawcą nad realizacją projektu Gemini jest wątpliwa.

Spółka przekaże do publicznej wiadomości aktualizacje informacji dotyczących zaistniałego zdarzenia w odrębnych raportach bieżących.

Suspension of development works on project

GeminiThe Management Board of PCF Group S.A. with its

registered office in Warsaw (the "Company") informs that due to the

expiry of the term of the existing content rider to the development and

publishing agreement for project Gemini developed by the Company's group

(the "Group") in Europe, in the work-for-hire model for Square Enix

Limited (the "Publishing Agreement", the "Publisher"), and the

simultaneous failure to conclude the subsequent content rider to the

Publishing Agreement, starting from 1 June 2025 the Group suspends

development works on the project.

The above event is a consequence of the Publisher's failure to present

the Company with a draft of the subsequent content rider to the

Publishing Agreement covering the terms and conditions of further

milestones on project Gemini, covering the period after the expiry of

the existing content rider to the Publishing Agreement and the lack of

communication from the Publisher as to its willingness to continue or

terminate the Gemini project, which has led to significant uncertainty

regarding the Publisher's intentions to complete project Gemini. Taking

the above into account, at the time of publication of this current

report, the Management Board assesses that further cooperation between

the Group and the Publisher on the production of project Gemini is

doubtful.

The Company will provide updates concerning this event in separate

current reports.
