Cyber_Folks SAcyber_Folks launches ABB for maximum of 1,134,400 series E shares; inflows to power M&A
Listed IT company cyber_Folks has begun the accelerated bookbuilding process for a maximum of 1,134,400 series E shares, which will be issued through a private subscription, the company said in a market filing. cyber_Folks plans to use the proceeds from the share issue to finance M&A transactions carried out by the company or any other entity from the group.
As stated in the market filing, the company's share capital will be increased from PLN 283,600 (EUR 66,759.44) to no less than PLN 283,600.02 and no more than PLN 306,288 (EUR 72,100.20).
It was indicated that the company's supervisory board adopted a resolution to consent to the deprivation of existing shareholders of all their pre-emptive rights to series E shares.
Existing shareholders of cyber_Folks who, as at the end of September 5, 2025, held at least 0.5 percent of the company's shares, will have the right of first refusal to acquire new shares in a number sufficient to maintain their share in the total number of votes at the general meeting at the level prior to the issue of series E shares.
"The company plans to use the proceeds from the issue of Series E shares to finance M&A transactions that the company or another entity from the group intends to carry out. Currently, the cyber_Folks group has identified five potential acquisition targets with a unit transaction value ranging from approximately EUR 15 million to approximately EUR 150 million," cyber_Folks said in the market filing.
The cyber_Folks group plans to carry out one or more M&A transactions in the next 12 months, which will be financed entirely with proceeds from the share issue or with partial use of debt financing.
