Zarząd spółki Corey Europe spółka akcyjna z siedzibą w Warszawie (dalej: "Emitent"), informuje, iż w dniu 16.07.2025 r. dokonał zbycia pakietu 7.500.000 akcji spółki zależnej od Emitenta, tj. Circular Farming S.A. z siedzibą w Warszawie, KRS nr 0000932236, za cenę łączną 150.000,00 PLN, przy cenie sprzedaży jednej akcji wynoszącej 0,02 PLN.

Przed dokonaniem powyższej transakcji Emitent posiadał 7.500.000 akcji Circular Farming S.A., stanowiących 75% w kapitale zakładowym i 75% w ogólnej liczbie głosów Circular Farming S.A

Po dokonaniu powyższej transakcji Emitent posiada 0 akcji Circular Farming S.A., stanowiących 0 % w kapitale zakładowym i 0 % w ogólnej liczbie głosów Circular Farming S.A.

Zarząd Emitenta zdecydował o publikacji powyższej informacji z uwagi na fakt, iż może mieć ona istotny wpływ na kształtowanie się przyszłej sytuacji gospodarczej, finansowej oraz majątkowej Emitenta oraz wycenę instrumentów finansowych Spółki notowanej w alternatywnym systemie obrotu na rynku NewConnect.

Shares in a Subsidiary Company.

Legal basis: Article 17(1)

of the Market Abuse Regulation (MAR) - Inside Information.

The Management Board of Corey Europe S.A., a joint-stock

company with its registered office in Warsaw (hereinafter referred to as

the "Issuer"), hereby announces that on July 16, 2025, the Issuer

completed the sale of a block of 7,500,000 shares in its subsidiary

company, Circular Farming S.A., with its registered office in Warsaw,

entered in the Register of Entrepreneurs under KRS No. 0000932236. The

total sale price amounted to PLN 150,000.00, corresponding to a price of

PLN 0.02 per share.

Prior to the transaction, the Issuer held 7,500,000

shares in Circular Farming S.A., representing 75% of the company's share

capital and 75% of the total voting rights.

Following the transaction, the Issuer holds 0 shares in

Circular Farming S.A., representing 0% of the share capital and 0% of

the total voting rights.

The Management Board of the Issuer has decided to

disclose this information due to its potential material impact on the

future economic, financial, and asset position of the Issuer, as well as

on the valuation of the Issuer's financial instruments listed on the

alternative trading system of the NewConnect market.
