XTPL SA (23/2025) Zawarcie niewyłącznej umowy dystrybucji rozwiązań technologicznych Emitenta na terenie Singapuru, Malezji, Tajlandii, FIlipin, Indii i Wietnamu.

Zarząd XTPL S.A. ["Emitent", "Spółka", "XTPL"] informuje, że w dniu 6 sierpnia 2025 roku pomiędzy APP Systems Services Pte. Ltd. ["APP", "Dystrybutor"] została podpisana niewyłączna umowa dystrybucji rozwiązań technologicznych Emitenta ["Umowa"].

Na mocy podpisanej Umowy Dystrybutor będzie reklamował i sprzedawał rozwiązania technologiczne XTPL na terenie Singapuru, Malezji, Tajlandii, FIlipin, Indii i Wietnamu. Współpraca ma na celu wsparcie XTPL w dotarciu do nowych Klientów przemysłowych oraz akademickich, znalezieniu szerszych zastosowań dla technologii i produktów XTPL oraz będzie skupiać się na wprowadzaniu rozwiązań z obszaru półprzewodników, biotechnologii oraz optyki.

APP Systems Services to dystrybutor i integrator sprzętu laboratoryjnego z ponad 40-letnim doświadczeniem. Swoją pozycję wzmacnia obecnością w 7 krajach, współpracując z jednostkami badań i rozwoju zarówno w segmencie akademickim, jak i dostarczając rozwiązania dla przemysłu. Wspiera produktowo, serwisowo oraz produkcyjnie klientów z obszaru biotechnologii, optyki oraz półprzewodników. W ramach współpracy Dystrybutor będzie promował rozwiązania XTPL wśród swoich obecnych i nowych klientów.

Zarząd Emitenta uznał fakt zawarcia przedmiotowej Umowy dystrybucyjnej za informację poufną, ponieważ jej realizacja może mieć istotny wpływ na przyszłą sytuację finansową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także na postrzeganie Emitenta przez inwestorów.

W związku z powyższym, w opinii Zarządu, informacja o zawarciu Umowy spełnia kryteria wskazane w art. 7 ust. 1 rozporządzenia MAR.

Content of the Report:

The Management Board of XTPL S.A. ["Issuer", "Company", "XTPL"]

announces that on August 6th, 2025, a non-exclusive distribution

agreement for the Issuer's technology solutions ["Agreement"] was signed

between the APP Systems Services Pte. Ltd. with headquarter in Singapore

["APP", "Dystrybutor"].

Under the signed Agreement, the Distributor will advertise and sell

XTPL's technology solutions in Israel. The cooperation is intended to

support XTPL in finding new Customers in academia and industry as well

as seeking broader applications for its technologies and products and

will focus on introducing solutions in semiconductors, biotechnology,

and optics.

APP Systems Services is a distributor and integrator of laboratory

equipment with over 40 years of experience. It strengthens its position

through its presence in seven countries, collaborating with research and

development units in both the academic sector and providing solutions

for industry. It supports customers in the fields of biotechnology,

optics, and semiconductors with products, services, and manufacturing.

As part of the collaboration, the distributor will promote XTPL

solutions to its existing and new customers.

The Issuer's Management Board considered the fact that the Distribution

Agreement in question was concluded to be confidential information, as

its implementation may have a significant impact on the Issuer's future

revenue situation, the popularization of the Company's technological

solutions, as well as the prospect of investors' perception of the

Issuer.

In view of the above, in the opinion of the Management Board, the

information on the conclusion of the Agreement meets the criteria

indicated in Article 7(1) of the MAR Regulation.
