XTPL SA (63/2024) Zakończenie subskrypcji akcji serii X

Zarząd XTPL S.A. ("Emitent") w nawiązaniu do raportu bieżącego ESPI nr 56/2024 z dnia 18 listopada 2024 roku oraz raportu bieżącego ESPI nr 58/2024 z dnia 26 listopada 2024 roku, informuje, że w dniu 6 grudnia 2024 roku zakończona została subskrypcja akcji serii X w wyniku zawarcia umów objęcia i opłacenia przez inwestorów łącznie 300.000 akcji serii X (tj. wszystkich oferowanych przez Emitenta akcji serii X), a łączna wysokość wpłat na akcje serii X wyniosła 27.600.000 zł (dwadzieścia siedem milionów sześćset tysięcy złotych).

DODATKOWA INFORMACJA

Raport bieżący został sporządzony wyłącznie w celu wypełnienia obowiązków wynikającego z art. 17 ust. 1 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylającego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE (MAR), w związku z tym, że Spółka uznała informację o opłaceniu wszystkich akcji serii X jako spełniającą kryteria informacji poufnej w rozumieniu art. 7 MAR.

Raport ten nie służy w żaden sposób, bezpośrednio ani pośrednio, promowaniu oferty, subskrypcji, objęcia lub nabycia Akcji Serii X i nie stanowi reklamy, ani materiału promocyjnego przygotowanego lub publikowanego przez Spółkę dla potrzeb promocji Oferty Akcji Serii X, ani w celu zachęcenia inwestorów, bezpośrednio czy pośrednio, do objęcia lub nabycia Akcji Serii X.

The Management Board of XTPL S.A. (the "Issuer") in reference to ESPI

Current Report No. 56/2024 of November 18, 2024 and ESPI Current Report

No. 58/2024 of November 26, 2024, announces that on December 6, 2024,

the subscription of X series shares was completed as a result of the

conclusion of agreements for the subscription and payment by investors

of a total of 300,000 X series shares (i.e. all X series shares offered

by the Issuer), and the total amount of payments for X series shares

amounted to PLN 27,600,000 (twenty-seven million six hundred thousand

zlotys).

The Current Report has been prepared solely for the purpose of

fulfilling the obligations under Article 17(1) of the Regulation (EU)

No. 596/2014 of the European Parliament and of the Council of 16 April

2014 on market abuse (market abuse regulation) and repealing Directive

2003/6/EC of the European Parliament and of the Council and Commission

Directives 2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR"), as the

Company considered the information on the payment of all Series X Shares

as meeting the criteria of inside information within the meaning of

Article 7 of MAR.
