Zarząd Spółki Comperia.pl S.A. z siedzibą w Warszawie ("Spółka"), informuje, że doszło do

zawarcia przez Spółkę ze spółką pod firmą Grupa OLX sp. z o.o. z siedzibą w Poznaniu

("Kontrahent") umowy dotyczącej współpracy mającej na celu wsparcie systemu sprzedaży

usług finansowych świadczonych za pośrednictwem Spółki ("Umowa"), w szczególności

poprzez świadczenie usług pośrednictwa, reklamę, marketing oraz udostępnienie Spółce

przez Kontrahenta powierzchni reklamowej w ogólnopolskim internetowym serwisie

motoryzacyjnym Otomoto.pl ("Serwis"), w okresie od dnia 1 lutego 2025 r. do dnia 31 stycznia

2026 r.

Celem zawarcia Umowy jest: (i) osiągnięcie jak najwyższej sprzedaży oferowanych

użytkownikom Serwisu usług finansowych, w których uzyskaniu Spółka pośredniczy, (ii)

podniesienie atrakcyjności ogłoszeń użytkowników Serwisu, jak również (iii) rozwój serwisów

prowadzonych przez Kontrahenta i (iv) poszerzenie zakresu sprzedaży świadczonych przez

Kontrahenta usług.

Umowa przewiduje zasadniczo współpracę stron w ramach dwóch wariantów, z których drugi

- wiążący się z ponad dwukrotnym, w stosunku do pierwszego wariantu, zwiększeniem kwoty

gwarantowanej wynagrodzenia rocznego Kontrahenta - przewiduje jednorazowo prawo

jednostronnej zmiany zakresu powyższej współpracy przez Kontrahenta (poprzez jej

odpowiednie rozszerzenie). Wariant pierwszy przewiduje obecność na powierzchniach

OTOMOTO w wersji desktop, mWeb i aplikacji mobilnej współdzieląc je w podmiotami

należącymi do grupy kapitałowej Kontrahenta. Wariant drugi obejmuje obecność wyłączną na

wszystkich powierzchniach reklamowych określonych Umową. Spółka szacuje, że w toku

wykonywania Umowy i przy założeniu braku wystąpienia nadzwyczajnych zdarzeń

wywierających znaczący wpływ na sytuację rynkową wartość świadczeń Spółki na rzecz

Kontrahenta może wynieść ok. od 6 mln do 13 mln złotych netto (w zależności od wyboru

wariantu).

Nawiązana na podstawie Umowy współpraca umożliwi w szczególności oferowanie

użytkownikom prowadzonych przez Kontrahenta serwisów, usług finansowych poprzez

przekierowywanie ich na oferty usług finansowych umożliwiające zakup przedmiotów

dostępnych w Serwisie.Każda ze stron może wypowiedzieć Umowę z zachowaniem 3-miesiecznego okresu

wypowiedzenia.

Pozostałe warunki Umowy nie odbiegają od warunków stosowanych dla tego typu umów przez

kontrahentów w branży, w której działa Spółka.

W wyniku przeprowadzonej analizy zdarzenia wskazanego powyżej, Spółka oceniła, że

uzasadnione jest zakwalifikowanie informacji o tym zdarzeniu jako informacji poufnej

w rozumieniu art. 17 ust. 1 MAR, podlegającej publikacji w formie niniejszego raportu.

the Company's periodical cooperation with the OLX Group with regard to the

operation of the Otomoto.pl website

Content of the report:

The Management Board of Comperia.pl S.A., with its registered office in

Warsaw (_#8216;Company'), informs that the Company concluded a significant

agreement with the company Grupa OLX sp. z o.o. with its registered office

in Poznań (the _#8216;Counterparty'), concerning cooperation aimed at supporting

the sales system of financial services provided through the Company (the

_#8216;Agreement'), in particular by providing intermediary services,

advertising, marketing and making available to the Company by the

Counterparty advertising space in the nationwide online automotive website

Otomoto.pl (the _#8216;Website'), in the period from 1 February 2025 to 31

January 2026.

The purpose of concluding the Agreement is: (i) to achieve the highest

possible sales of the consumer credit financial services offered to the

users of the Website, in the obtaining of which the Company acts as an

intermediary, (ii) to increase the attractiveness of the advertisements of

the users of the Website, as well as (iii) to develop the services

operated by the Counterparty and (iv) to expand the scope of sales of the

services provided by the Counterparty.

In principle, the Agreement provides for the cooperation of the parties

under two variants, the second of which - involving an increase in the

guaranteed amount of the Counterparty's annual remuneration by more than

two times, as compared to the first variant - provides for a onetime right

of unilateral change in the scope of the aforementioned cooperation by the

Counterparty (by extending it accordingly). The first variant provides for

a presence on OTOMOTO in the desktop, mWeb and mobile application

versions, sharing them with entities belonging to the Counterparty's

capital group. Second variant includes an exclusive presence on all the

advertising surfaces defined by the Agreement. The Company estimates that

in the normal course of performance of the Agreement and assuming the

absence of extraordinary events having a significant impact on the market

situation, the value of the Company's services to the Counterparty may

amount to approximately PLN 6 million to 13 million net (depending on the

selection of the variant).

The cooperation established on the basis of the Agreement will, in

particular, enable offering financial services to users of the websites

run by the Counterparty by redirecting them to financial services offers

enabling the purchase of items available on the Website.

Either party may terminate the Agreement at three months' notice.

The other terms and conditions of the Agreement do not differ from those

used for this type of agreement by counterparties in the industry in which

the Company operates.

As a result of the analysis of the event

indicated above, the Company assessed that it is justified to qualify the

information on this event as confidential information within the meaning

of Article 17(1) MAR, subject to publication in the form of this report.
