COMPERIA.PL SA (4/2025) Informacja aktualizująca nt realizacji znaczącej umowy dotyczącej okresowej współpracy Spółki z Grupą OLX w zakresie działalności serwisu Otomoto.pl

Zarząd Spółki Comperia.pl S.A. z siedzibą w Warszawie ("Spółka"), w nawiązaniu do raportu bieżącego nr 3/2025 z dnia 28 stycznia 2025 r., informuje o powzięciu wiedzy, że spółka pod firmą Grupa OLX sp. z o.o. z siedzibą w Poznaniu ("Kontrahent") - w wykonaniu zawartej w tym dniu umowy pomiędzy Spółką i Kontrahentem, dotyczącej współpracy mającej na celu wsparcie systemu sprzedaży usług finansowych świadczonych za pośrednictwem Spółki ("Umowa"), w szczególności poprzez świadczenie usług pośrednictwa, reklamę, marketing oraz udostępnienie Spółce przez Kontrahenta powierzchni reklamowej w ogólnopolskim internetowym serwisie motoryzacyjnym Otomoto.pl ("Serwis") - skorzystała z prawa do jednostronnej zmiany zakresu powyższej współpracy w ramach tzw. wariantu drugiego, co onacza rozszerzenie tej współpracy poprzez zapewnienie Spółce wyłącznej obecności na 100% powierzchni reklamowych Serwisu (przy odpowiednim zwiększeniu kwoty gwarantowanej wynagrodzenia rocznego Kontrahenta).

W związku z tym Spółka oczekuje, że od strony biznesowej realizacja Umowy w modelu współpracy stron objętej wariantem drugim (uruchomionym przez Kontrahenta) będzie wiązać się z pełnym wpływem na modelowanie procesów obsługi klienta, i powinna wpłynąć również istotnie na poziom przychodów generowanych przez Spółkę.

W wyniku przeprowadzonej analizy zdarzenia wskazanego powyżej, Spółka oceniła, że uzasadnione jest zakwalifikowanie informacji o tym zdarzeniu jako informacji poufnej w rozumieniu art. 17 ust. 1 MAR, podlegającej publikacji w formie niniejszego raportu.

Company's periodical cooperation with the OLX Group with regard to the

operation of the Otomoto.pl website

Content of the report:

The Management Board of Comperia.pl S.A., with its registered office in

Warsaw (the _#8216;Company'), with reference to the current report No. 3/2025

of 28 January 2025, informs that the company under the business name

Grupa OLX sp. z o.o. with its seat in Poznań (the _#8216;Counterparty') - in

the performance of the agreement concluded on that day between the

Company and the Counterparty, concerning cooperation aimed at supporting

the sales system of financial services provided through the Company (the

_#8216;Agreement'), in particular by providing intermediary services,

advertising, marketing and making available to the Company by the

Counterparty advertising space in the nationwide online automotive

website Otomoto.pl (the _#8216;Website') - exercised the right to unilaterally

change the scope of the aforementioned cooperation under the so-called

second variant, which means extending this cooperation by providing the

Company with an exclusive presence on 100% of the Counterparty's

advertising surfaces (with a respective increase of the guaranteed

amount of the Counterparty's annual remuneration).

Therefore, the Company expects that from the business side, the

execution of the Agreement in the model of cooperation of the parties

covered by the second variant (launched by the Counterparty) will

involve a full impact on the modelling of customer service processes,

and should also have a significant impact on the level of revenue

generated by the Company.

As a result of the analysis of the event indicated above, the Company

assessed that it is justified to qualify the information on this event

as confidential information within the meaning of Article 17(1) MAR,

subject to publication in the form of this report.
