GRUPA PRACUJ SA (26/2025) Uzupełnienie raportu bieżącego nr 7/2025 z dnia 13 maja 2025 r. dotyczącego podsumowania subskrypcji prywatnej akcji serii D Spółki

W nawiązaniu do raportu bieżącego nr 7/2025 z dnia 13 maja 2025 r. ("Raport") oraz w związku z otrzymaniem zestawienia i akceptacją kosztów od podmiotów zaangażowanych w pracę nad przygotowaniem i przeprowadzeniem subskrypcji prywatnej akcji zwykłych na okaziciela serii D Spółki ("Akcje Serii D"), wyemitowanych na podstawie uchwały emisyjnej Zarządu Spółki, o której Spółka informowała w raporcie bieżącym nr 4/2025 z dnia 2 kwietnia 2025 r., Zarząd Spółki niniejszym przekazuje do publicznej wiadomości uzupełnienie treści Raportu w zakresie informacji zawartych w pkt 12) i 13) Raportu dotyczących kosztów emisji.

12. Łączne określenie wysokości kosztów, które zostały zaliczone do kosztów emisji:

Koszty, które zostały zaliczone do kosztów emisji wyniosły łącznie 110.804,75 PLN, w tym:

a) przygotowania i przeprowadzenia oferty - 110.804,75 PLN;

b) wynagrodzenia subemitentów - nie dotyczy;

c) sporządzenia prospektu, z uwzględnieniem kosztów doradztwa - nie dotyczy;

d) promocji oferty - nie dotyczy.

Poniesione przez Spółkę koszty emisji zostały ujęte w kosztach operacyjnych Spółki w 2025 r.

13. Średni koszt przeprowadzenia subskrypcji przypadający na jednostkę papieru wartościowego objętego subskrypcją:

Średni koszt przeprowadzenia subskrypcji przypadający na jedną Akcję Serii D wyniósł 0,11 PLN.

Szczegółowa podstawa prawna:

§ 17 ust. 1 rozporządzenia Ministra Finansów z dnia 6 czerwca 2025 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim.

reference to the current report no. 7/2025 dated May 13, 2025 (the "Report")

and in connection with the receipt of a breakdown and approval of all

costs of the entities involved in preparing and conducting the private

subscription of the Company's series D ordinary bearer shares (the "Series

D Shares") issued based on the issuance resolution of the Company's

Management Board about which the Company informed in current report no.

4/2025 dated April 2, 2025, the Management Board of the Company hereby

makes public a supplement to the content of the Report with respect to

information contained in items 12) and 13) of the Report regarding the

issue costs.

The amount of total costs that have been

included in the cost of the issue:

The costs

that have been included in the total cost of the issue amounted to PLN

110,804.75 including:

a) costs

of preparing and conducting of the offering - PLN 110,804.75;

b)

underwriters' fees - not applicable;

c) costs

of preparing of the prospectus, including advisory costs - not

applicable;

d)

offering's marketing costs - not applicable.

Issue

costs borne by the Company were included in Company's operating expenses

in 2025.

The average cost of conducting the

subscription per unit of the security within the subscription:

The

average cost of conducting the subscription per Series D Share amounted

to PLN 0.11.

section 1 of the Regulation of the Minister of Finance of June 6, 2025

on current and periodic information provided by issuers of securities

and conditions for recognizing as equivalent information required by the

laws of a non-member state.
