JSW SA (49/2025) Zawiadomienie ZUS o pozytywnym rozpatrzeniu złożonego przez JSW S.A. wniosku o odroczenie terminu płatności składek na ubezpieczenia społeczne, zdrowotne, FP, FGŚP i FEP oraz opublikowanie opóźnionej informacji poufnej

Zarząd Jastrzębskiej Spółki Węglowej S.A. ["Spółka", "JSW"] informuje, iż w dniu dzisiejszym Spółka otrzymała zawiadomienie Zakładu Ubezpieczeń Społecznych ["ZUS"] o pozytywnym rozpatrzeniu wniosku w sprawie, o której JSW informowała raportem bieżącym nr 32/2025 z dnia 11 kwietnia 2025 r. Z uwagi na wewnętrzne procedury i praktykę decyzyjną ZUS, Spółka postanowiła ubiegać się o odroczenie kwoty około 315 mln PLN [z pierwotnie zakładanej kwoty około 1,3 mld PLN], co stanowi 90% wartości składek za trzy miesiące objęte wnioskiem. Pozostałe 10 % zgodnie z wnioskiem oraz z otrzymanym zawiadomieniem JSW ureguluje w ustawowym terminie.

Jednocześnie Spółka informuje, iż o odroczenie kolejnych kwot JSW będzie ubiegała się w następnych wnioskach do ZUS.

ZUS uzasadniając, że Spółka podjęła liczne działania zmierzające do poprawy sytuacji finansowej oraz płynności finansowej, które zapewnią środki na uregulowanie składek w odroczonym terminie płatności, wyraził zgodę na odroczenie terminu płatności składek za okres:

- 05.2025 r. do 15.06.2026 r.,

- 06.2025 r. do 15.07.2026 r.,

- 07.2025 r. do 17.08.2026 r.

O kolejnych istotnych krokach w przedmiotowej sprawie, w tym rozstrzygnięciach ZUS obejmujących następne okresy, Spółka poinformuje w trybie stosownych raportów bieżących.

Ponadto, Zarząd JSW informuje [w nawiązaniu do raportu bieżącego nr 32/2025], że w dniu 6 maja 2025 r. opóźnił informację poufną, że do Spółki wpłynęły odpowiedzi informujące, iż ZUS nie wyraził zgody na:

1. odroczenie terminu płatności składek,

2. rozłożenie na raty należności z tytułu składek.

Po otrzymaniu powyższej odpowiedzi oraz dodatkowych wyjaśnieniach, Spółka zmieniła tryb składania wniosków z jednorazowego na etapowe składanie wniosków na kolejne okresy.

Tym samym Zarząd JSW zamyka opóźnienie informacji poufnej.

Notification

from the Social Insurance Institution that the application submitted by

JSW S.A. for deferral of payment of social security, health insurance,

FP, FGŚP and FEP contributions has been granted and publication of

delayed confidential information

Body

The

Management Board of Jastrzębska Spółka Węglowa S.A. ["Company", "JSW"]

hereby reports that today the Company received a notification from the

Social Insurance Institution ["ZUS"] on the acceptance of the

application in the case reported by JSW in Current Report No. 32/2025

dated 11 April 2025.Due to internal procedures and decision-making

practices of the Social Security Institution, the Company decided to

apply for a deferral of approx. PLN 315 million [out of an original

amount of approx. PLN 1.3 billion], which is 90% of the value of

contributions for the three months covered by the application. In

accordance with the application and the notification received, JSW will

pay the remaining 10% within the statutory deadline.

At

the same time, the Company reports that JSW will apply for deferral of

further amounts in future applications to the Social Security

Institution.

Considering

that the Company has taken numerous measures to improve its financial

standing and liquidity, which will provide the means to pay the

contributions on the deferred payment date, the Social Security

Institution agreed to defer the payment of contributions for the periods:

-

from May 2025 to 15 June 2026

-

from June 2025 to 15 July 2026

-

from July 2025 to 17 August 2026.

The

Company will disclose information on further significant steps in this

matter, including ZUS decisions covering the next periods, in the form

of pertinent current reports.

In

addition, the JSW Management Board hereby reports [with reference to

Current Report No. 32/2025] that on 6 May 2025 it delayed the

publication of confidential information that the Company had received

responses informing it that the Social Security Institution had not

agreed to:

1.

1. defer

the contribution payment deadline,

2.

2. split

the contribution amounts due into installments.

After

receiving the above response and additional clarifications, the Company

has changed the way of submitting its applications from one-off

applications to submitting separate applications for individual periods.

Thus,

the JSW Management Board ends the delay in publication of confidential

information.
