JSW SA (56/2025) Zawarcie przez spółkę zależną JSW S.A. aneksu do znaczącej umowy

Zarząd Jastrzębskiej Spółki Węglowej S.A. ["Emitent"] informuje, że w dniu 18 czerwca 2025 roku spółka zależna od Emitenta tj. Przedsiębiorstwo Budowy Szybów S.A. ["PBSz"] zawarła z KGHM Polska Miedź S.A. aneks do umowy z dnia 20 grudnia 2021 roku ["Aneks"] w przedmiocie wykonania wyrobisk chodnikowych, robót górniczych oraz zabezpieczenia postępu robót chodnikowych przygotowawczych w infrastrukturę techniczną. Termin realizacji przedmiotowej umowy został wyznaczony na dzień 31 grudnia 2025 roku.

Na mocy zawartego Aneksu okres obowiązywania umowy został przedłużony do dnia 31 grudnia 2029 roku, a także zwiększyła się łączna maksymalna wartość wynagrodzenia należnego PBSz z tytułu jej realizacji z kwoty 384 mln PLN netto do kwoty 1.080 mln PLN netto. Zgodnie z zawartym Aneksem, nowe limity wynagrodzenia kształtują się następująco:

- w latach 2022 - 2024: 292 mln PLN netto,

- w roku 2025: 145 mln PLN netto,

- w latach 2026 - 2029: 643 mln PLN netto.

Ostateczna wartość aneksowanej umowy będzie zależna m.in. od rodzaju i technologii drążenia wyrobisk, rodzaju zastosowanej obudowy, średniej drogi transportu kamienia i urobku oraz zakresu zleconych robót.

Zawarty Aneks ma istotne znaczenie z punktu widzenia realizowanej strategii Grupy Kapitałowej JSW w zakresie dywersyfikacji źródeł przychodów oraz umacniania pozycji PBSz jako kluczowego wykonawcy usług górniczych w Polsce.

Emitent nie informował o pierwotnie zawartej umowie, z uwagi na fakt, iż w dacie jej zawarcia nie spełniała ona kryterium istotności.

Subject: Execution

of an annex to a material agreement by a JSW S.A. subsidiary

Spółka Węglowa S.A. ["Issuer"] hereby reports that on 18 June 2025, a

subsidiary of the Issuer, i.e. Przedsiębiorstwo Budowy Szybów S.A.

["PBSz"] concluded with KGHM Polska Miedź S.A. an annex to the agreement

of 20 December 2021 ["Annex"] concerning the execution of roadway

excavations, mining works and provision of technical infrastructure

securing the progress of preparatory roadway works. The term of the

agreement in question was set for 31 December 2025.

Under the Annex, the term of the

agreement was extended until 31 December 2029 and the total maximum

value of the remuneration payable to PBSz under the agreement was

increased from PLN 384 million net to PLN 1,080 million net. According

to the Annex, the new remuneration limits are as follows:

- in 2022-2024: PLN 292 million net,-

in 2025: PLN 145 million net,-

in 2026-2029: PLN 643 million net.

The final value of the annexed

agreement will depend on, among other things, the type and technology of

excavation, the type of supports used, the average route of stone and

excavated material transport, and the scope of the contracted work.

The concluded Annex is important from

the point of view of the JSW Group's strategy of diversifying its

revenue sources and strengthening PBSz's position as a key mining

contractor in Poland.

The Issuer did not report on the

originally concluded agreement as it did not meet the criterion of

materiality at the date of its conclusion.
