PROGUNS GROUP SA (28/2025) Zawarcie umowy dotyczącej współpracy w zakresie produkcji amunicji 40 mm

Zarząd Proguns Group S.A. z siedzibą w Warszawie (Emitent) informuje, że w dniu 13 listopada 2025 roku Emitent zawarł z Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o. (ZSP Niewiadów) umowę dotyczącą współpracy w zakresie produkcji amunicji kalibru 40 mm (Umowa).

Przedmiotem Umowy jest określenie zasad współpracy stron, polegającej na przygotowaniu i realizacji wspólnego przedsięwzięcia w zakresie wdrożenia produkcji amunicji 40 mm. Zgodnie z postanowieniami Umowy, współpraca będzie prowadzona w oparciu o technologię, wiedzę, doświadczenie i know-how ZSP Niewiadów oraz pozyskaną przez ZSP Niewiadów od partnera zagranicznego oraz przy wykorzystaniu kapitału zapewnionego przez Emitenta.

Zgodnie z postanowieniami Umowy, strony zobowiązały się do współfinansowania procesu wdrożenia produkcji amunicji kalibru 40 mm, w tym pokrycia kosztów związanych z przygotowaniem do produkcji, zakupem środków produkcji i pozyskania praw do technologii produkcji, przy czym Emitent zobowiązał się wpłacić na ten cel zaliczkę w kwocie 4.000.000 zł.

Zgodnie z postanowieniami Umowy, strony będą dzielić się zyskami, pochodzącymi ze sprzedaży amunicji 40 mm.

Zgodnie z postanowieniami Umowy, szczegółowe warunki współpracy stron przy produkcji amunicji kalibru 40 mm zostaną określone w odrębnej umowie wykonawczej, która zostanie zawarta po zawarciu przez ZSP Niewiadów umowy z dostawcą technologii produkcji amunicji 40 mm. Oznacza to, że Umowa ma charakter ogólny i stanowi podstawę do rozwinięcia długoterminowej współpracy stron w zakresie produkcji i komercjalizacji amunicji kalibru 40 mm.

Emitent informuje, że zawarcie Umowy jest przejawem realizacji postanowień Term Sheet zawartego z Forum 119 Fundusz Inwestycyjny Zamknięty, Grupa Niewiadów-PGM S.A. oraz ZSP Niewiadów, o którym Emitent informował raportem bieżącym ESPI nr 25/2025 z dnia 21 października 2025 roku.

Emitent wskazuje, że ZSP Niewiadów to spółka Grupy Kapitałowej Grupa Niewiadów-PGM S.A., mająca ugruntowaną pozycję na rynku krajowym i zagranicznym w branży militarnej i zbrojeniowej, będąca producentem amunicji i innych wyrobów wojskowych, a także dysponująca parkiem maszynowym oraz majątkiem ruchomym i nieruchomym wykorzystywanym przy produkcji amunicji i jej komponentów. ZSP Niewiadów posiada koncesję na produkcję i obrót materiałami wybuchowymi, bronią, amunicją oraz wyrobami o przeznaczeniu wojskowym oraz podpisał Memorandum of Understanding (MoU) z producentem i właścicielem praw do technologii amunicji kalibru 40 mm, od którego zamierza pozyskać niezbędne prawa i kompetencje do jej produkcji.

Po realizacji postanowień porozumienia, o którym Emitent informował raportem bieżącym ESPI nr 9/2025 z dnia 17 marca 2025 roku, Emitent wejdzie w skład Grupy Kapitałowej Grupa Niewiadów-PGM S.A.

The Management Board of Proguns Group S.A., with its

registered office in Warsaw (the "Issuer"), hereby announces that on 13

November 2025, the Issuer entered into an agreement (the "Agreement")

with Zakłady Sprzętu Precyzyjnego Niewiadów sp. z o.o. ("ZSP Niewiadów")

concerning cooperation in the production of 40 mm ammunition.

The purpose of the Agreement is to define the

principles of cooperation between the parties in preparing and

implementing a joint project aimed at launching the production of 40 mm

ammunition. Pursuant to the terms of the Agreement, the cooperation will

be based on the technology, expertise, experience, and know-how of ZSP

Niewiadów, including that acquired from a foreign partner, and on the

capital provided by the Issuer.

Under the Agreement, the parties have committed to co-finance the

implementation of 40 mm ammunition production, including covering costs

related to production preparation, the purchase of production equipment,

and the acquisition of manufacturing rights. The Issuer has agreed to

pay an advance of PLN 4,000,000 for this purpose.

The Agreement further provides that the parties will share profits

generated from the sale of 40 mm ammunition.

According to the provisions of the Agreement, the detailed terms of

cooperation between the parties in the production of 40 mm ammunition

will be set out in a separate executive agreement, to be concluded once

ZSP Niewiadów enters into a contract with the supplier of the ammunition

production technology. This means that the current Agreement is general

in nature and constitutes a framework for the development of long-term

cooperation between the parties in the field of production and

commercialization of 40 mm ammunition.

The Issuer notes that the conclusion of the Agreement represents an

implementation of the provisions of the Term Sheet signed with Forum 119

Closed-End Investment Fund, Grupa Niewiadów-PGM S.A., and ZSP Niewiadów,

as disclosed in Current Report ESPI No. 25/2025 dated 21 October 2025.

The Issuer further indicates that ZSP Niewiadów is part of the Grupa

Niewiadów-PGM S.A. Capital Group, a well-established entity in both the

domestic and international defense industries. The company manufactures

ammunition and other military products and possesses a production

facility, machinery, and assets both movable and immovable used in

the production of ammunition and its components. ZSP Niewiadów holds a

license for the manufacture and trade of explosives, weapons,

ammunition, and military-purpose products and has signed a Memorandum of

Understanding (MoU) with the manufacturer and owner of the technology

rights for 40 mm ammunition, from whom it intends to obtain the

necessary rights and competencies for production.

Following the implementation of the agreement referenced in Current

Report ESPI No. 9/2025 dated 17 March 2025, the Issuer will become part

of the Grupa Niewiadów-PGM S.A. Capital Group.
