Zarząd XTPL S.A. ["Spółka", "Emitent"] informuje, że w dniu 29 kwietnia 2025 roku Spółka powzięła informację o wyborze przez Sieć Badawczą Łukasiewicz - Instytut Mikroelektroniki i Fotoniki ["Zamawiający", "IMIF"] oferty przedstawionej przez Spółkę w postępowaniu o udzielenie zamówienia publicznego nieograniczonego prowadzonego w trybie przetargu [numer postępowania F2/39/2025/ZP].

Oferta złożona przez Spółkę dotyczyła sprzedaży, dostawy, uruchomienia, przeszkolenia personelu i opieki serwisowej systemu do wytwarzania mikrościeżek przewodzących. W ramach oferty Emitent zaproponował opracowane przez siebie urządzenie Delta Printing System.

Przychody uzyskane z realizacji projektu będą miały pozytywny wpływ na wyniki finansowe XTPL S.A. osiągnięte w 2025 roku.

O fakcie podpisania umowy z Zamawiającym, Spółka poinformuje odrębnym komunikatem bieżącym.

Zarząd Emitenta uznał fakt wyboru oferty na urządzenie DPS za informację poufną, ponieważ jej realizacja może mieć wpływ na przyszłą sytuację przychodową Emitenta, popularyzację rozwiązań technologicznych Spółki, a także na perspektywę postrzegania Emitenta przez inwestorów.

Z przyczyn wyżej opisanych informacje przekazane w niniejszym raporcie bieżącym w opinii Zarządu Emitenta spełniają kryteria informacji poufnej w rozumieniu art. 7 ust. 1 MAR.

proceedings for the supply of a device for the manufacture of conductive

micro-tracks.

Contents of the Report:The Management Board of XTPL S.A. ["Company",

"Issuer"] announces that on April 29, 2025, the Company became aware of

the selection by the Lukasiewicz Research Network - Institute of

Microelectronics and Photonics ["Orderer", "IMIF"] of the offer

presented by the Company in the proceedings for the award of an open

public procurement contract conducted by means of a tender [procedure

number F2/39/2025/ZP].

The bid submitted by the Company was for the sale, delivery,

commissioning, personnel training and maintenance care of a system for

producing conductive micro-tracks. As part of the bid, the Issuer

proposed the Delta Printing System device it developed.

Revenues generated from the project will have a positive impact on XTPL

S.A.'s financial results achieved in 2025.

The Company will announce the fact of signing the agreement with the

Orderer by a separate current report.

The Issuer's Management Board considered the selection of the bid for

the DPS device to be confidential information, as its implementation may

have an impact on the Issuer's future revenue situation, the

popularization of the Company's technological solutions, as well as the

prospect of investors' perception of the Issuer.

For the reasons outlined above, the information disclosed in this

current report, in the opinion of the Issuer's Management Board, meets

the criteria of inside information as defined in Article 7(1) of MAR.
